INTRODUCTION AND SCOPE OF CONTRACT
1.1. Acceptance of Terms. These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Sheeva Connected India Pvt. Ltd. (“Sheeva,” “we,” “us,” or “our”). These Terms govern your access to and use of the Sheeva application and related services, whether accessed through: (a) software embedded in a connected vehicle’s onboard system (“In-Vehicle App”), (b) the Sheeva mobile application installed on your smartphone (“Mobile App”), (c) the Sheeva user portal accessible online (“Web Portal”) ((a), (b), and (c) are collectively referred to as the “Platform”), or (d) Sheeva’s WhatsApp channel. The Mobile App or the In-Vehicle App may be referred to as the “Sheeva App” as applicable.
By ticking/clicking the “I agree to the terms and conditions” or any similar icon/tab/option on the online system/Website/portal/platform/mobile application/WhatsApp channel of Sheeva or by creating a Sheeva account, accessing the Platform through any of these interfaces, or conducting transactions with participating merchants with your account, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Platform.
1.2. Modifications to Terms. We may revise these Terms at any time. Any modifications will become effective upon posting to the Platform or our website, unless otherwise stated. We will provide notice of material changes via in-app notification, email, or message via the Platform interface, and your continued use of the Platform after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately stop using the Platform and may terminate your account at any time.
1.3. Scope of Use. The Platform enables you to authorize and initiate transactions from your mobile device or in-vehicle interface with participating merchants, such as gas stations, highway toll service providers, car washes, and parking facilities. Your use of any specific service is subject to the general terms herein and any applicable addendum associated with the relevant merchant and service provider category. Addendums for these services include:
- Addendum A – Payment Processing
- Addendum B – Fuel/Gas Station Transactions
- Addendum C –Toll Recharge Transactions
- Addendum D – Car Services
- Addendum E – WhatsApp Services Integration
These Addendums may be updated or supplemented over time and are incorporated into these Terms by reference.
1.4. Eligibility to Use the Platform. The User agrees and undertakes that during all times he/she uses the Platform that he/she fulfils the following eligibility criteria:
a. you are an individual;
b. you are at least 18 years of age; and
c. you are of sound mind, solvent, and competent to contract as per the Indian Contract Act, 1872.
If you do not meet such eligibility, or if you do not agree with these Terms, you may not access or use the Platform. The Platform is not intended for use by individuals under the age of 18. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian. Sheeva does not knowingly collect personal data from children without appropriate consent.
OPENING YOUR ACCOUNT
2.1 Account Registration. To use the Platform, you may be required to create a Sheeva account by registering through the Sheeva Mobile App, In-Vehicle App, or the Web Portal. During registration, you will be required to provide accurate, current, and complete information, including your name, contact details, and payment method. You agree to keep your account information up to date at all times you continue to use the Platform.
2.2 Login Credentials and Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been accessed without your authorization, you must notify us immediately at support@sheeva.in. We may require or enable multi-factor authentication to enhance security, and you agree to follow any such procedures we implement.
2.3 Access Through OEM and Vehicle Systems. Your use of the Platform may require linking your Sheeva account with your vehicle’s connected services system (“OEM Account”). By enabling this integration, you authorize Sheeva to receive vehicle-related data and personal information (e.g., vehicle location, fuel level, VIN, and profile settings) from the OEM for purposes of providing the Services. While your vehicle’s original equipment manufacturer (“OEM”) may retain control over the original data, you authorize Sheeva to retain and use a copy of any personal information received from the OEM for as long as reasonably necessary to operate, maintain, and enhance the Services.
2.4 Access via Mobile and Web. You can access your account and use the Platform through the Sheeva Mobile App, In-Vehicle App, or Web Portal. These channels may allow you to:
- View transaction history and active sessions;
- Manage linked vehicles and payment methods;
- Conduct Merchant Transactions at participating merchant locations and activate and receive services, e.g. a fuel dispenser or electric vehicle charger;
- Customize preferences and notification settings;
- Access receipts and participate in promotional offers.
2.5 Account Termination. You may terminate your account at any time by following the instructions in the Mobile App or Web Portal, or by contacting customer support. Termination of your account does not relieve you of responsibility for outstanding transaction charges or pending obligations incurred prior to closure, including payments under dispute or transactions in progress.
DESCRIPTION OF SERVICES
3.1 Overview of the Platform. The Platform enables users to initiate and complete transactions with participating merchants through their connected vehicles, smartphones, or web accounts (“Services”). These transactions may include, without limitation, payment for fuel, charging EV batteries, highway tolls, car washes, parking, or other location-based vehicle services (“Merchant Transactions”). The Platform may be accessed through: the Sheeva Mobile App, Web Portal, or in some cases In-Vehicle App. Each interface may provide access to a unified account experience, including transaction history, payment preferences, service availability, and active session tracking.
3.2 Use of Services through WhatsApp. In addition to accessing the Platform via the Sheeva Mobile App, In-Vehicle App, and Web Portal, you may receive service-related functionality through the Sheeva WhatsApp Service (as defined in Addendum E). The WhatsApp channel is provided as a supplemental communication and convenience tool, may not offer full transaction functionality, and may not be a complete substitute for the Sheeva Mobile App or Web Portal for completing transactions. The User hereby expressly agrees and consents to Sheeva for sharing and/or displaying User Information including information which may constitute as sensitive personal data or information, on WhatsApp as may be necessary for providing these Services.
In addition to these Terms, your use of the Sheeva WhatsApp Service is additionally governed by Addendum E, which is incorporated into these Terms by reference. By initiating a conversation or interacting with Sheeva through WhatsApp, you acknowledge and agree to the terms of that Addendum.
3.3 Use of UPI for Payment Transactions. The Platform supports the use of the Unified Payments Interface (“UPI”) for completing certain Merchant Transactions, where available. UPI payments are processed through integration with authorized payment service providers and are governed by the National Payments Corporation of India (“NPCI”) guidelines. These real-time payment instructions may require the use of your Virtual Payment Address (VPA), UPI PIN, or linked mobile number for authentication.
In addition to these Terms, your use of UPI via the Platform is additionally governed by Addendum A, which is incorporated into these Terms by reference. By initiating a UPI transaction through the Platform, you authorize Sheeva to facilitate such payment instructions as described therein.
3.4 Transaction Enablement. When you use the Platform through your mobile device or In-Vehicle App to initiate a Merchant Transaction, Sheeva facilitates the transaction by:
- Communicating with your mobile device or connected vehicle and related cloud-based platform to gather necessary context (e.g., location and vehicle status information);
- Interfacing with merchants and payment processors to initiate and complete a transaction;
- Sending real-time transaction updates and confirmations to your mobile device, In-Vehicle App, email, or other communication channel (e.g., WhatsApp).
Sheeva does not operate or control the merchants that provide goods or services. All goods or services purchased using the Platform are offered by third-party providers. Sheeva is not responsible for the quality, safety, availability, or pricing of any third-party goods or services.
3.5 Real-Time Data Use. To deliver the Services, Sheeva may access and use real-time data from your mobile device or connected vehicle, including GPS location and other contextual signals. This data allows Sheeva to:
- Identify available merchants near you;
- Present relevant transaction options;
- Streamline the checkout process; and
- Enhance safety by limiting driver interaction during transit.
You agree to allow Sheeva to access and process such data for the purposes of facilitating transactions and improving the Platform.
3.6 Promotional Offers and Merchant Engagement. Sheeva may work with participating merchants to provide targeted promotions, discounts, or incentives (“Promotional Offers”). To support these offers, Sheeva may share limited personal, mobile device information (e.g., loyalty status, usage frequency, general location), and vehicle information with merchants. This information is shared solely to facilitate participation in Promotional Offers and to improve your experience with the Services. All such use is subject to our Privacy Policy.
Participation in a Promotional Offer is optional and may be subject to additional terms disclosed at the time of offer.
3.7 Service Categories and Addendums. The Platform supports multiple service categories, each governed by an applicable addendum attached to these Terms. These addendums form part of these Terms and are incorporated by reference. Each addendum provides more detailed rules, obligations, and usage conditions for the applicable service.
3.8 Service Suspension or Termination. Sheeva shall be entitled to withdraw/discontinue/suspend/disallow the use of any of the Services at any time, at its sole and absolute discretion, without need for any permission from or notice to you.
PERMISSIONS AND DATA SHARING
4.1 Consent to Data Collection. By using the Platform, you authorize Sheeva to collect and process information about you and your vehicle that is necessary to provide the Services. This includes, but is not limited to:
- Personal information you provide during account registration or profile updates (e.g., name, email, phone number, payment method, UPI details, credit card information, etc.);
- Real-time mobile device data, such as GPS location, and service preferences;
- Vehicle information such as VIN, fuel level, state of charge, vehicle status;
- Transaction details, including merchant name, amount, date/time, and location;
- Any UPI credentials or identifiers such as Virtual Payment Address (VPA), UPI-linked mobile number, or authentication signals required for payment authorization, including any data necessary to validate UPI payment instructions. By using UPI through the Platform, you expressly consent to the processing and transmission of such data for these purposes; and
- Information received from your vehicle’s manufacturer pursuant to your integration of your Sheeva account with the connected vehicle system (when applicable).
Your use of the Platform constitutes your affirmative and informed consent to the collection and use of such data. You may withdraw your consent at any time by deleting your account or contacting privacy@sheeva.ai, provided that such withdrawal may affect your continued use of the Services.
This data may be collected directly through your use of the Sheeva Mobile App, In-Vehicle App, Web Portal, Sheeva’s WhatsApp channel, or indirectly through authorized third-party partners, including OEMs, merchants, and payment processors. The collection, use, and storage of your personal data by Sheeva shall be in accordance with the provisions of the Digital Personal Data Protection Act, 2023 and Sheeva’s Privacy Policy. You acknowledge that your consent to data processing through the Platform is freely given, specific, informed, and revocable as permitted under applicable law.
4.2 Use of Personal and Vehicle Data. Sheeva uses the collected information described above to:
- Authenticate and operate your Sheeva account;
- Enable, confirm, and process Merchant Transactions;
- Customize your user experience and provide contextual service suggestions;
- Communicate with you via push notifications, SMS, or email;
- Improve and develop our services, features, and user interface; and/or
- Comply with legal and regulatory obligations.
4.3 Data from OEMs. Where supported, your OEM may share personal information and vehicle data with Sheeva as part of your connected services package. You acknowledge that while the OEM may retain control over the original data under its own privacy terms, you explicitly authorize Sheeva to retain and maintain control over a copy of such personal information so long as it is reasonably necessary to:
- Provide, maintain, and improve the Platform;
- Troubleshoot technical issues;
- Deliver user support;
- Comply with legal obligations;
- Facilitate analytics and usage monitoring.
Your authorization survives until you disconnect your vehicle from the Platform and request data deletion, subject to applicable data retention laws.
4.4 Sharing with Merchants and Service Providers. To facilitate transactions and offer relevant promotions, Sheeva may share certain account or vehicle information with participating merchants and service providers. This may include:
- Transaction history or service preferences;
- Loyalty program participation or eligibility;
- Anonymized or aggregated usage metrics;
- Marketing attributes (e.g., gas type, frequency of use, location).
Data shared for promotional purposes is limited in scope and shared only to the extent needed to deliver a relevant offer or complete a requested service. Sheeva does not sell your personal data for money.
4.5 Privacy Policy Incorporation. All data practices under this Section are further governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Platform, you acknowledge and confirm that you have read, understood and accepted the Privacy Policy of Sheeva which can be found at https://www.sheeva.ai/legal/tos-and-pp-india#pp-india (“Privacy Policy”). We may revise our Privacy Policy from time to time. Any modifications will become effective upon posting to the Platform or our website, unless otherwise stated. We will provide notice of material changes, and your continued use of the Platform after such changes constitutes your acceptance of the revised Privacy Policy. If you do not agree to the revised Privacy Policy, you must immediately stop using the Platform and may terminate your account at any time.
USER RESPONSIBILITIES
5.1 Accurate Information. You agree to provide accurate, current, and complete information when registering for and using the Platform, including your payment details, contact information, and any linked vehicle data. You are responsible for keeping this information up to date. Inaccurate or outdated information may prevent you from completing transactions or accessing certain features of the Services. Sheeva accepts no liability for the consequences arising out of erroneous information supplied by you. You agree that if you notice any error in any information supplied to you by the use of any of the Services, you shall inform Sheeva of the same, as soon as possible. Sheeva will endeavor to correct the error promptly.
5.2 Safe and Lawful Use. You agree to use the Platform only in compliance with all applicable laws, traffic regulations, and these Terms. When using the Sheeva Platform on your mobile device while operating a vehicle, you are responsible for ensuring that any interaction with the Platform does not interfere with your ability to operate the vehicle safely. Specifically:
- Use of the Platform while driving should be limited to voice-activated or passive interactions where available;
- Transactions should only be initiated while the vehicle is stationary or by a passenger; and
- You are solely responsible for determining whether it is safe and lawful to complete a transaction in a given location.
5.3 Authorized Access. You are responsible for all use of your Sheeva account, including any activity by other individuals using your login credentials. You must ensure that any person accessing the Platform through your account complies with these Terms.
If you allow a third party (e.g., family member, friend, or employee) to use the Services, you accept full responsibility for all associated activity, transactions, charges, and conduct by such third parties.
5.4 Security of Your Account and Device. You are solely responsible for safeguarding your account credentials. You must not share your password or PIN with anyone outside your household or authorized drivers. You agree to notify Sheeva immediately of any unauthorized access or suspected breach of your account.
Sheeva is not responsible for any losses resulting from unauthorized use of your account, except to the extent required by law.
You are also responsible for securing your mobile device, vehicle, SIM card, and any linked accounts. Sheeva is not liable for any unauthorized access or misuse caused by loss, theft, or compromise of your device, vehicle, SIM, or credentials.
5.5 Costs and Charges. You are responsible for all fees and charges incurred through your use of the Platform, including but not limited to:
- Sheeva convenience fees;
- Merchant Transaction costs;
- Government fees (e.g., tolls);
- Data usage or carrier fees incurred while using the mobile app; and
- Charges incurred by authorized users of your account.
Refer to Section 6 for more information on payment terms and transaction billing.
5.6 Compliance with Third-Party Terms. Your use of the Platform may be subject to additional terms imposed by third parties, such as a merchant providing you with services, your mobile carrier, or payment provider. You agree to comply with all such third-party terms and acknowledge that Sheeva is not responsible for any breach of those terms by you or an authorized user. You shall indemnify Sheeva for your breach or your authorized user’s breach of any such third party terms.
5.7 No Unauthorized Use. You agree not to:
- Reverse-engineer, decompile, or tamper with the Platform or any portion of it;
- Use the Platform for any fraudulent, abusive, or unlawful purpose;
- Interfere with the operation of the Platform or any connected service;
- Access or use the Platform for commercial purposes unless expressly authorized.
PAYMENTS AND TRANSACTIONS
6.1 Transaction Authorization. By using the Platform, you authorize Sheeva to initiate and process payments to participating merchants on your behalf using the payment method(s) linked to your account. This authorization applies to all transactions initiated via the Platform, whether from your connected vehicle, smartphone, or the online portal.
Once a transaction is confirmed via the Platform, it is deemed authorized and binding. You are responsible for reviewing transaction details (e.g., service provider, estimated charges) prior to confirmation.
6.2 Accepted Payment Methods. Sheeva accepts various payment methods, including major credit and debit cards, and may expand its offerings to include digital wallets or bank transfers. You must maintain at least one valid payment method on file to complete a transaction.
Sheeva may update the list of supported payment providers at any time and is not responsible for delays, fees, or failures caused by third-party payment processors.
6.3 Pre-Authorization and Holds. In some cases, Sheeva or a merchant may place a temporary hold or pre-authorization on your account to verify available funds before providing services (e.g., fueling, charging, or tolls). Any unused portion of the pre-authorization will be released in accordance with your bank or card issuer’s policies.
6.4 Payment Processing. You agree to allow Sheeva (or its designated third-party payment processor) to charge your selected payment method at the time a transaction is initiated or completed, depending on the merchant’s configuration. You remain responsible for all charges until paid in full, including any additional charges resulting from:
- Extended usage beyond an estimated amount;
- Overages or penalties assessed by a merchant; and
- Failed or declined payments.
If payment fails, Sheeva reserves the right to suspend or terminate your account and to pursue collection through third-party services.
6.5 Fees and Charges. You are responsible for all amounts charged in connection with your use of the Platform, including:
- Merchant charges (e.g., fuel, charge, toll, parking, car repairs, wash fees);
- Applicable taxes and government surcharges;
- Transaction fees or service fees; and
- Penalties for failed payments or misuse.
Some merchants may charge dynamic rates (e.g., based on time of day or demand), and Sheeva cannot guarantee pricing accuracy in all cases. It is your responsibility to review posted pricing before completing a transaction.
6.6 Refunds and Disputes. All transactions are final unless a merchant expressly offers refunds. If you believe a transaction was processed in error, you must notify Sheeva within 30 days of the charge by emailing support@sheeva.in. Sheeva will investigate and, if applicable, coordinate with the merchant or payment provider.
Sheeva does not guarantee refunds and is not responsible for resolving disputes between you and a third-party merchant.
6.7 Transaction Records. A record of your recent transactions is available via the Sheeva Mobile App, Sheeva’s WhatsApp channel or Web Portal (if applicable). You may view and download receipts, review your billing history, and, in some cases, manage payment preferences from your account dashboard. Upon request, Sheeva may provide mailed copies of receipts for a processing fee.
PROMOTIONS AND MERCHANT ENGAGEMENT
7.1 Promotional Offers. From time to time, Sheeva or may make available promotional offers, loyalty programs, discounts, or incentives (“Promotional Offers”) in collaboration with participating merchants. These offers may be displayed in your vehicle, on your mobile app, or in your online account dashboard. Promotional Offers may be:
- Automatically applied to qualifying transactions;
- Opt-in, requiring user activation;
- Time-limited or subject to usage restrictions;
- Personalized based on your transaction history or preferences.
Participation in Promotional Offers is optional but may be subject to additional terms, including eligibility criteria, minimum spend thresholds, or merchant-specific restrictions. Details for each offer will be disclosed at the time of presentation or opt-in.
7.2 Data Use for Personalization. To improve relevance and effectiveness, Sheeva may use your account data (including transaction history, vehicle type, service frequency, and location data) to personalize the Promotional Offers shown to you. This data may also be used to:
- Determine your eligibility for offers;
- Match you with merchant loyalty programs;
- Present location-based or vehicle-specific discounts; and/or
- Suggest services or merchants you may find useful.
You can manage your preferences for receiving Promotional Offers or marketing communications through your app settings or web portal.
7.3 Merchant Data Sharing. To fulfill certain Promotional Offers, Sheeva may share limited personal or vehicle information with participating merchants or merchant networks. This may include:
- Contact information (e.g., email or phone number);
- Vehicle attributes (e.g., fuel type or model);
- Loyalty program participation or history;
- Anonymized insights for program effectiveness.
This sharing is limited to the scope necessary to deliver the offer or enable your participation and is subject to our Privacy Policy. Sheeva does not sell your personal information to third parties.
7.4 No Guarantee of Availability. Promotional Offers are provided as a convenience and may be modified, suspended, or discontinued at any time without notice. Sheeva does not guarantee the availability, value, or duration of any Promotional Offer, and shall not be liable for the withdrawal or expiration of any such offer.
Merchants are solely responsible for the fulfillment of any goods, services, or benefits associated with their Promotional Offers.
MESSAGING AND NOTIFICATIONS
8.1 Communication Channels. By creating a Sheeva account and or using the Platform, you agree that Sheeva may communicate with you using one or more of the following channels:
- In-app notifications (via the Sheeva Mobile App or In-Vehicle App);
- Push notifications to your mobile device;
- SMS/text messages;
- Email;
- Messages via your online account dashboard;
- Messages via WhatsApp or any other messaging platform.
These communications may include transactional updates, receipts, account notices, security alerts, promotional messages, or service reminders. You acknowledge and agree that participating merchants and service providers may also contact you regarding their goods or services.
8.2 Transaction and Safety Alerts. Certain communications are integral to the functionality of the Services and may include:
- Confirmation of Merchant Transactions;
- Warnings related to vehicle safety or improper transaction use;
- Notices of payment failure or account issues;
- Time-sensitive updates regarding session start/end or service completion.
You acknowledge that failure to receive or review such alerts (e.g., due to app settings, spam filters, or carrier issues) does not excuse your obligations under these Terms.
8.3 Opting Out of Marketing Messages. You may opt out of receiving marketing-related messages (such as promotional emails or SMS offers) by:
- Clicking the "unsubscribe" link in an email;
- Texting “STOP” in response to a promotional SMS;
- Emailing support@sheeva.in;
- Opting out of marketing communications will not affect your receipt of essential account or transactional messages, which may still be sent as necessary to provide the Services.
8.4 Carrier and Data Charges. Message and data rates may apply depending on your mobile carrier or Internet service provider. You are responsible for any charges associated with receiving communications from Sheeva.
8.5 Reliability and Limitations. While Sheeva endeavors to deliver timely and accurate communications, message delivery may be delayed, blocked, or fail due to:
- Network congestion or outages;
- Carrier or service provider limitations;
- Your mobile device settings or location;
- Do-not-disturb, spam filters, or app permission restrictions.
Sheeva is not liable for any damages or losses resulting from delayed or failed message delivery.
INTELLECTUAL PROPERTY
9.1 Ownership. All content, technology, and materials provided through the Platform—including but not limited to the Sheeva Mobile App, In-Vehicle App, Web Portal, user interfaces, features, graphics, icons, logos, text, software, and underlying source code—are the intellectual property of Sheeva or its licensors. These materials are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.
Except for the limited license granted in Section 9.2, no rights or interests in the Platform or any of its content are transferred to you.
9.2 Limited License. Sheeva grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. This license permits you to:
- Download and use the Sheeva Mobile App;
- Access, where available, any vehicle-integrated version of the Platform through supported OEM platforms;
- Use the Web Portal to manage your account and transactions;
- Use Sheeva’s WhatsApp channel.
You may not:
- Copy, modify, adapt, distribute, or create derivative works from any part of the Platform;
- Reverse engineer, decompile, or attempt to discover the source code of any component of the Platform;
- Use any automated means to extract data or content from the Platform;
- Remove, obscure, or alter any proprietary rights notices.
9.3 Trademarks. “Sheeva.AI,” “Sheeva,” “SheevaPay”, “SheevaConnect”, and all related names, logos, product and service names, designs, and slogans are trademarks of Sheeva or its affiliates or licensors. You may not use these marks without prior written permission. All other names, logos, and brands referenced on the Platform are the property of their respective owners.
9.4 Feedback and Suggestions. If you choose to submit ideas, suggestions, or feedback about the Platform or the Services (“Feedback”), you acknowledge and agree that Sheeva is free to use such Feedback without restriction or compensation to you. You hereby grant Sheeva a perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate your Feedback into current and future versions of the Platform.
USER CONDUCT AND INDEMNIFICATION
By using the Sheeva Platform, you agree to comply with the following conduct requirements, which are intended to promote a secure and respectful environment for all users and partners:
10.1 Prohibited Conduct. You agree that you will not:
- Use the Platform in any unlawful manner or for any unlawful purpose;
- Interfere with, disrupt, or compromise the integrity or performance of the Platform, systems, or networks;
- Upload or transmit viruses, malware, or any other harmful code;
- Use the Platform in a way that may distract from safe vehicle operation;
- Attempt to gain unauthorized access to any user accounts, systems, or data;
- Harvest, scrape, or collect information about other users or transactions without consent;
- Use the Platform to engage in fraudulent, deceptive, or misleading behavior;
- Use the Platform to harass, threaten, abuse, defame, or otherwise violate the legal rights of others;
- Impersonate any individual or entity, or misrepresent your affiliation with any person or organization;
- Circumvent or bypass any access restrictions or security measures on the Platform.
10.2 Safe Use in Vehicles. You agree that your use of the Platform from within a vehicle must always be conducted in a manner that does not compromise your safety or the safety of others. You specifically agree that:
- You will not manually interact with the Platform while operating a vehicle unless legally permitted and safe to do so;
- Transaction initiation should occur while the vehicle is safely parked or operated by a passenger.
You will comply with all applicable traffic laws and regulations while using the Platform.
10.3 Reporting Violations. If you become aware of any misuse of the Platform, including unauthorized access or conduct that violates these Terms, you agree to report it to Sheeva immediately at support@sheeva.in. Sheeva reserves the right to investigate and take appropriate action, including suspension or termination of access.
10.4 Enforcement. Violation of this Section may result in suspension or termination of your account, legal action, or both. Sheeva reserves the right to cooperate with law enforcement and applicable regulatory authorities in the investigation of any alleged wrongdoing associated with use of the Platform.
10.5 Indemnification. In consideration of Sheeva providing you with the Services, you hereby agree to indemnify and keep Sheeva indemnified from and against all actions, claims, demands, proceedings, losses, damages, personal injury, costs, charges and expenses whatsoever which Sheeva may at any time incur, sustain, or suffer as a consequence of or by reason of or arising out of providing the Services or by reason of Sheeva acting in good faith and taking or refusing to take or omitting to take action on your instructions in using the Services, and in particular arising directly or indirectly out of the negligence, mistake or misconduct by you; breach or noncompliance of the all terms and conditions in these Terms (including 3rd party terms and conditions) and; or fraud or dishonesty relating to any transaction by you or your authorized users or agents.
DISPUTE RESOLUTION, GOVERNING LAW, AND LIMITATIONS OF LIABILITY
11.1 Informal Resolution. Before initiating any formal legal proceeding, you agree to first contact Sheeva at support@sheeva.in and attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform (each, a “Dispute”) informally and in good faith. Most concerns can be resolved quickly and to the mutual satisfaction of all parties.
11.2 Binding Arbitration. If a Dispute cannot be resolved informally within thirty (30) days, you and Sheeva agree to resolve it exclusively through final and binding arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator to be mutually appointed by the parties. If the parties are unable to agree on an arbitrator within fifteen (15) days of the expiry of the negotiation period, the arbitrator shall be appointed in accordance with the rules of the Indian Council of Arbitration (ICA).
The arbitration will be conducted in the English language and in a mutually agreed location, or if none is agreed, in New Delhi, India.
The arbitrator shall have authority to award any remedy available at law or in equity, including injunctive relief and attorneys’ fees, to the extent permitted by these Terms and applicable law. Each party shall bear its own costs relating to the arbitration, and the fees of the arbitrator shall be shared equally, unless otherwise directed in the arbitral award.
The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
11.3 Class Action Waiver. YOU AND SHEEVA AGREE THAT ANY DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, CONSOLIDATED, REPRESENTATIVE, OR COLLECTIVE ACTION OR PROCEEDING. You may not bring a claim as a plaintiff or class member in any purported class or representative proceeding. The arbitrator or adjudicatory body shall not consolidate or join more than one person’s claims and may not preside over any form of class or representative proceeding, unless required under applicable Indian law.
11.4 Governing Law and Venue. These Terms shall be governed, interpreted, and construed in accordance with the laws of India, without regard to the conflict of law provisions and for resolution of any dispute arising out of your use of the Services or in relation to these Terms. Notwithstanding the foregoing, you agree that (i) Sheeva has the right to bring any proceedings before any court/forum of competent jurisdiction and you irrevocably submit to the jurisdiction of such courts or forum; and (ii) subject to the arbitration provisions above, any proceeding brought by you shall be exclusively before the courts in Jasola, New Delhi, India.
11.5 Liability. To the fullest extent permitted by law, neither party shall be liable to the other for any indirect, consequential, incidental, special or punitive damages. Sheeva’s total liability shall not exceed the lesser of (a) the amount paid by User for using the Services in the six months preceding the claim, giving rise to the cause of action or (b) Rupees One Thousand (₹ 1,000), whichever is less, except in cases of willful misconduct or gross negligence.
11.6 Time Limit for Claims. You agree that any Dispute must be filed within one (1 ) year after the underlying claim arose; otherwise, the claim is permanently barred.
MISCELLANEOUS
12.1 Entire Agreement. These Terms, along with our Privacy Policy and any applicable Addendums, constitute the entire agreement between you and Sheeva regarding your use of the Platform and supersede all prior agreements or understandings, whether oral or written, relating to the subject matter herein.
12.2 Assignment. You may not assign or transfer your rights or obligations under these Terms without Sheeva’s prior written consent. Any attempted assignment in violation of this section is void. Sheeva may freely assign or transfer these Terms without restriction.
12.3 Severability. If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that provision shall be deemed severable and will not affect the validity and enforceability of any remaining provisions.
12.4 No Waiver. No waiver by Sheeva of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Any failure to enforce a right or provision shall not constitute a waiver of such right or provision.
12.5 Force Majeure. Sheeva shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, labor conditions, power failures, Internet disturbances, or governmental actions.
12.6 No Third-Party Beneficiaries. Except as expressly provided in these Terms, no third party shall have any rights or benefits under this Agreement.
12.7 Survival. Any provisions of these Terms that by their nature should survive termination (including but not limited to Sections 4, 6, 9, 10, 11, and this Section 12) shall survive the termination of your account or use of the Platform.
12.8 Interpretation. Headings are for convenience only and do not affect interpretation. Words such as “including,” “for example,” or similar expressions are intended to be illustrative, not limiting.
GRIEVANCE REDRESSAL AND DATA PRINCIPAL RIGHTS
You may exercise your rights under the Digital Personal Data Protection Act, 2023, including the right to:
- Access your personal data processed by Sheeva;
- Request correction or erasure of your data; and/or
- Withdraw your consent to processing (subject to legal or contractual obligations).

ADDENDUM A - PAYMENT PROCESSING
This Addendum governs your use of the Sheeva Platform to initiate and complete payments for goods or services with 3rd party merchants. When you use the Platform to purchase goods or services from 3rd party merchants, you may use services of Axis Bank, CashFree Payments India Private Limited Company (“CashFree”). You may also use the Unified Payments Interface (“UPI”) operated by the National Payments Corporation of India (“NPCI”). By using the Platform to purchase goods and services from 3rd party merchants, the User agrees to the terms of this Addendum and the NPCI UPI guidelines.
A.1 Overview. Sheeva enables payment transactions by integrating with UPI service providers, card networks, third-party banks, and payment processors. These transactions may be real-time, push-based payment instructions initiated by you and authorized through card transactions and UPI mechanisms such as VPA, UPI PIN, or biometric authentication.
A.2 User Authorization. By initiating a transaction through the Platform, you:
- Authorize Sheeva to submit payment instructions to your selected service provider;
- Consent to share your personal information including relevant transaction data with governmental authorities, regulators, NPCI, and the relevant banks or payment service providers (e.g., Axis Bank, CashFree, etc.);
- Understand and agree that all payment instructions provided via the Platform shall be deemed to have been given by the User personally and shall be binding upon the User once confirmed via the Platform.
- Acknowledge and agree that such instructions, once confirmed, are irrevocable and final, unless otherwise stated herein.
- Acknowledge and agree that by using the Platform for UPI transactions you will be a customer of Axis Bank or CashFree.
- Acknowledge and agree to the Axis Bank terms and conditions found in Exhibit A.1 of this Addendum A, which may be updated from time to time by Axis Bank. The current Axis Bank terms and conditions can be retrieved at https://www.axisbank.com/docs/default-source/default-document-library/axis-bank-upi-terms-and-conditions.pdf when using the Platform for UPI transactions.
- Acknowledge and agree that a credit refund policy exists and shall conform to NPCI regulations. Specifically, in respect of any transaction initiated by you for products or services not received by you, you may be entitled to a refund in accordance with NPCI regulations.
- Acknowledge and agree that Axis Bank and CashFree may contact you through digital and non-digital modes to offer their products and/or services, including for cross-selling and up-selling.
- You agree that a record of your instructions to process a Merchant Transaction on the Platform and the contents thereof shall be proof of your instructions and shall be binding on you and you shall not contest or dispute the same in any manner whatsoever.
- Acknowledge and agree to the additional terms and conditions found in Exhibit A.3 of this Addendum A.
A.3 Transaction Limits and Availability. You acknowledge and agree that:
- Transactions are subject to limits imposed by NPCI, Axis Bank, the User’s bank, the UPI platform, card network rules, or other applicable laws, rules, and regulations;
- Sheeva is not responsible for transaction failure due to bank, NPCI, card network downtime, network failure, or incorrect credentials.
- By providing the intermediary services between you and a merchant to purchase goods or services, Sheeva is not a (i) payment system provider under the Payment and Settlement Systems Act, 2007; (ii) a banking company under (a) the Banking Regulation Act, 1949; and/or (b) a non-banking financial company under the Reserve Bank of India Act, 1934.
- Sheeva shall not in any manner be responsible for the quality of goods, quantity of goods, quality of services, or defect in goods or deficiencies of services you acquire through the Services. The providing merchant of such goods or services shall be solely responsible to you.
A.4 UPI-Related Errors or Disputes. You must report transaction discrepancies within 30 days by emailing support@sheeva.in or through the UPI complaint system (for UPI transactions). Sheeva may assist in dispute escalation but does not guarantee refunds for errors caused by incorrect payment credentials or unauthorized device access, except as otherwise required by law.
A.5 Privacy and Security. UPI-related information is handled in accordance with Sheeva’s Privacy Policy and applicable data protection laws. You must ensure the confidentiality of your UPI PINs and other credentials and is solely responsible for unauthorized use resulting from compromise of their mobile device or SIM.
A.6 Refund Policy. Sheeva believes in helping its customers as much as possible, and has therefore a liberal cancellation policy. Under this policy:
- Cancellations will be considered only if the request is made immediately after placing the order. However, the cancellation request may not be entertained if the orders have been communicated to the vendors/merchants and they have initiated the process of shipping them.
- Sheeva does not accept cancellation requests for perishable items like flowers, eatables, etc. However, a refund/replacement can be made if the customer establishes that the quality of product delivered is not good.
- In case of receipt of damaged or defective items please report the same to our customer service team. The request will, however, be entertained once the merchant has checked and determined the same at his own end. This should be reported within 7 calendar days of receipt of the products. In case you feel that the product received is not as shown on the site or as per your expectations, you must bring it to the notice of our customer service within 7 calendar days of receiving the product. The customer service team, after looking into your complaint, will take an appropriate decision.
- In case of complaints regarding products that come with a warranty from manufacturers, please refer the issue to them. In case of any refunds approved by Sheeva, it will take 6-8 business days for the refund to be processed.
With respect to any refund, you acknowledge and agree:
- that all refunds must be routed through the same acquiring bank payment gateway through which your original transaction giving rise to the refund was made;
- that Sheeva shall not process any refund after a period of 180 (one hundred and eighty) days from the date of a Merchant Transaction;
- no cash refunds shall be issued to you in connection with a card sale, unless required by law.
A.7 Prohibited Transations. You acknowledge and agree that:
- You shall not use the Services or permit anyone to use the Services for any illegal or fraudulent transactions or transactions that involve a Negative, Risky, or Restricted Category as defined in Exhibit A.2.
- We may share your information with regulators, relevant banks, and payment service providers in case your information is required to undertake any investigation about fraud or illegal activity by a law enforcement agency or the regulators.
- If Sheeva suspects or has a reasonable belief that you have engaged in fraudulent transaction or criminal activity, Sheeva shall report such activity to the relevant law enforcement authorities. Sheeva shall also keep a right to terminate such Services in such a case.
A.8 Limitation of Liability. Neither Sheeva or its payment processors shall be liable to you for any injury, death, loss, claim, act of God, accident, delay, or any direct, damages of any kind (including without limitation lost profits or lost savings), special, exemplary, incidental, punitive, indirect or consequential or direct damages, damages, whether based in contract, tort, strict liability or otherwise, that arise out of or is in any way connected with:
- any error by you in submitting payment instructions;
- any incorrect instructions issued by you for debit or credit of amounts;
- you providing us inadequate or incorrect information;
- any collection, use, process and share of your information and details with your consent under these Terms;
- interruption or unavailability of the Services. Sheeva’s sole obligation and your sole and exclusive remedy in the event of an interruption in Services, or loss of use and/or access to the Services shall be to use all reasonable endeavours to restore the Services as soon as reasonably possible;
- the use of counterfeit or stolen bank cards, or stolen devices;
- fraudulent electronic transactions; or
- quality and service-related claims pertaining to the good or services you purchase through the Services.
A.9 Chargebacks. In case a Merchant Transaction does not successfully go through and the funds are deducted from your account, in such case, Sheeva shall provide support to resolve the disputes within the prescribed turnaround time provided by law or the relevant card network rules.
Exhibit A.1 to Addendum A
These terms and conditions form the contract between the User and the Axis Bank and shall be in addition to and not in derogation of other terms and conditions of any account or any other facility/services offered by the Bank and/or such other terms and conditions as may be specified by the Bank.
Definitions:
The following words and phrases shall have the meanings set out herein below in this document unless repugnant to the context:
“Application” or “Mobile Payment Application” refers to ‘Axis Pay’ mobile application by Axis Bank which can be downloaded from Google Play store or Apple Store to avail products and services offered by Axis Bank through this mobile application or any other UPI application availableon Google Playstore or Apple Store where Axis Bank has powered / offered the UPI services.
"Account(s)" shall mean an operative bank account maintained by the User with Axis Bank or any other Bank Account which User provide at thetime of authentication process of Application, for availing the facility which is being offered.
“Account Holder” shall mean a User holding an Account, Non-Resident Indians Excluding Joint account holders, Trust, Corporates, Minor, Private limited, Partnership, HUF, Non-Resident External(NRE), Non-Resident Ordinary(NRO) having overseas Registered mobile number otherthan following 12 countries(Singapore, Australia, Canada, Hong Kong, Oman, Qatar, USA, Saudi Arabia, UAE, United Kingdom,France, Malaysia), Foreign nationals holding Short term NRO accounts, PIS(Portfolio investment scheme), PMS(Portfolio management scheme) accounts.
"Bank" and "Axis Bank" shall mean Axis Bank Limited, a company incorporated under the Companies Act 1956 and licensed as a bank underBanking Regulation Act, 1949 having its registered office at 'Trishul', 3rd Floor, Opposite Samartheshwar Temple, Law Garden, Ellis Bridge,Ahmedabad 380 006, Gujarat and corporate office at 131, Maker Towers 'F', Cuffe Parade, Mumbai. This term shall be inclusive of any 'affiliates' ofthe Bank which shall mean and include any company which a holding company or a subsidiary of ; a person under the control of the Bank or any person in which the bank has a direct/ beneficial interest in more than 26% of the voting securities of such person. For the purpose of this definition "control" when used with respect to any person would mean the power to direct the management and policies of such person, directly or indirectly, whether through the ownership of the vote carrying securities, by contract or otherwise howsoever; and "person" would mean acompany, corporation, a partnership, trust or any other entity or organization or other body whatsoever.
“Debit Card” shall means and includes the debit card issued to the User in respect of an operative bank account maintained by the User with Axis Bank or any other Bank Account.
"Facility" shall mean Axis Pay Mobile Payment Application offered by Axis Bank to facilitate User to send or receive money via UPI platform,through said Mobile Payment Application or any other UPI application available on Google Playstore or Apple Store where Axis Bank has powered /offered the UPI services.
“Issuing Bank” shall mean member banks participating in UPI network to identify the bank account basis Mobile No in case of customer is registering through any PSP App.
"Mobile Phone Number" shall mean the mobile number of the User used during registration for Mobile/ SMS Banking via secured channel withAxis Bank or for Mobile Payment Application , for the purpose of availing the facility.
"UPI" shall mean unified payments interface is a service provided by NPCI that allows transfer of money using a virtual address that is mapped to an account of the User after complete validation.
"NPCI" shall mean National Payment Corporation of India. The funds transfer feature ( send and ask) is provided using UPI service of NPCI.
"Virtual Address" shall mean an identifier that can be uniquely mapped to an individual account using a translation service.
"Mobile Phone" shall mean a valid SIM card enabled smartphone, which is owned by the User.
"Personal information" shall mean any information about the User provided by the User to and obtained by Axis Bank in relation to the facility.
“Services” shall mean all the products and services offered by Axis Bank under the said facility on Mobile Payment Application.
“Transaction” shall mean the fund transfer service to send or receive money; offered under the said facility on Mobile Payment Application;
"User" shall mean an Account Holder of Axis Bank as well as any other person (not necessary having any relationship with Bank) who has downloaded the Mobile Payment Application and who is eligible for availing fund transfer facility to send or receive money offered thereunder.
For the purposes of this document all reference to the User in masculine gender shall be deemed to include feminine gender also.
“Government/Exchange Control Regulation” means various forms of controls imposed by a government on the purchase/sale of foreigncurrencies by residents, on the purchase/sale of local currency by nonresidents, or the transfers of any currency across national borders.
“Non Resident (External) Account Scheme” is a rupee-denominated accounts that NRIs can open to deposit their foreign currency earnings.
“Non-Resident (Ordinary) Account Scheme” is a rupee dominated account that NRIs can open to manage their deposits or income earned in India
“FOREIGN NATIONAL OF NON-INDIAN ORIGIN” means Foreign nationals who are staying in India for a long period due to work or business reasons, studies or tourism.
Eligibility and Usage:
This facility shall be available to the Users in India, subject to the condition that he downloads the Application, successfully installs it andthereafter authenticate himself with the applicable credentials and sets his UPI PIN.
The User should have his/her Mobile Phone Number registered with his/her Bank for SMS/Mobile Banking and should have existing relationshipwith his/her Bank for availing this Facility and services thereunder, using this Mobile Payment Application.
This facility shall be made available only to the Users satisfying the eligibility criteria and shall be provided at the sole discretion of Axis Bank and maybe discontinued by Axis Bank at any time, with or without prior intimation to the Users.
The User understands and accepts that any other condition that is a pre-requisite to access and avail benefits under the facility, including, but not limited to a Mobile Phone, Data Connection, etc. will be the sole responsibility of the User.
Authorization:
The User irrevocably and unconditionally authorizes Axis Bank to access his Account and the Personal details registered while authentication of Application for availing the service including effecting Banking or other transactions of the user through the facility.
The User expressly authorizes Axis Bank to disclose to the service provider or any other third party, all user information in its possession, as maybe required by them to provide the services offered under the said facility to the User.
The authority to record the User’s details and transaction details is hereby expressly granted by the User to Axis Bank. All records generated by the transactions arising out of use of the facility, including the time of the transaction, beneficiary details, etc; recorded shall be conclusive proof ofthe genuineness and accuracy of the transactions.
The User authorizes Axis Bank to send any message or make calls to his mobile phone Number or display banners or any other communication on Axis Pay Mobile Payment Application to inform him about any promotional offers including information regarding Banks' new products eithernow available or which Axis Bank may come up with in the future, greetings, banners or any other promotional massages or any other message that Axis Bank may consider appropriate to the User.
The User irrevocably and unconditionally agrees that such calls or messages made by the Axis Bank and/or its Agents shall not be construed as a breach of the privacy of the User and shall not be proceeded against accordingly.
The User authorizes Axis Bank to send any rejection message or to reject any transaction/request, if it finds that the request sent by the User isnot as per the requirements stipulated by Axis Bank for availing the facility.
The User authorizes Axis Bank to do a bureau scrub or extract his credit report from the bureau for offering various products or services.
The User expressly authorizes Axis Bank to carry out all request(s) or transaction(s) for and/or at the request of the User as are available to the Userthrough Mobile Payment Application without the Bank having to verify the authenticity of any request or transaction purporting to have beenreceived from the User through Application.
Axis Bank shall have the option to introduce any new services through this facility at any time in future and the User shall be deemed to have expressly authorized Axis Bank to register the User for such new services.
Liabilities and Responsibilities of the User:
- The User shall be responsible for the accuracy of any information provided by the user for availing the facility.
- The USER shall be solely responsible for fund transfer through Payment Application to the correct Beneficiary/ virtual address.
- The USER shall also be responsible to comply with the applicable Anti-Money Laundering (AML) norms governing such funds transfers as stipulated by Reserve Bank of India (“RBI”), from time to time.
- The USER shall be liable and responsible in case of any discrepancy found in the information provided by him for availing fund transfer service offered through the Application.
- If, the USER suspects that, there is an error in the information supplied by Axis Bank, he shall inform the Bank immediately. Axis Bank will endeavor to correct the error promptly wherever possible on a best effort basis.
- Axis Bank shall not be held liable for any loss suffered by the User due to disclosure of the Personal information to any service provider or third party by the Bank, for reasons including but not limited to participation in any telecommunication or electronic clearing network, in compliance with any legal or regulatory directives, for statistical analysis or for credit rating or for any legal or regulatory compliance.
- The User shall be solely responsible for protecting his Mobile Phone and UPI PIN for the use of the said facility.
- The User shall be liable to the Bank for any kind of unauthorized or unlawful use of any of the above mentioned UPI PIN/passwords or of the said Application or any fraudulent or erroneous instruction given and any financial charges thus incurred shall be payable by the User only.
- The User accepts that for the purposes of the said facility any transaction emanating from the Mobile Phone Number registered by User shall be assumed to have initiated by the User at his sole discretion.
- It is the sole responsibility of the User to request the Bank, to suspend the said facility due to change of his registered Mobile Phone Number or if his Mobile Phone has been lost or has been allotted to some other person. The User shall also be obliged to inform the Bank, if any, unauthorized transaction in his account, of which he has knowledge.
- It shall be the responsibility of the User to update him with regard to any information relating to the services as Axis Bank may decide toprovide certain other additional services under the said facility. Axis Bank shall not be responsible for any disregard on the part of the User.
- The User shall be liable for all loss if he has breached the Terms and conditions contained herein and other applicable terms & conditions or contributed or caused the loss by negligent actions or a failure on his part to advise Axis Bank within a reasonable time about any unauthorized access made on his behalf in the Mobile Payment Application.
- The User shall agree that by use of this facility, he shall be deemed to have agreed to all the above terms and conditions and such terms and conditions shall be binding on me/us in the same manner as if he has agreed to the same in writing.
Terms of Service:
These terms & conditions are in addition to the general terms & conditions of any account or any other facility provided by Axis Bank to its Customers.
- This facility is available only to the User having a bank account with any bank in India providing Immediate Payment Service (IMPS), Unified Payment Interface (UPI), including the fund transfer service.
- User shall register him for using the Application in such manner and through such modes as may be specified and made available by AxisBank from time to time for availment and use of the facility.
- Axis Bank reserves right to charge the User for the services offered under the said facility.
- This facility will be provided by Axis Bank at the request of the User to enable them to Send or receive the funds through Application to the accounts/virtual addresses added in the application based on the instructions received from User.
- The User irrevocably and unconditionally authorizes Axis Bank to debit or Credit his account/s with the Bank registered for availing the facility.
- User agree and confirm that, for the purpose of availing said facility:
- User has to add his existing account maintained with Axis Bank or any other Bank, to the Mobile Payment application.
- User has to select the appropriate bank details where his account is maintained, for the purpose of adding his account to the Application. The account details will be fetched by the Axis Bank through the application via NPCI and the Issuing bank, basis the mobile number shared by User. The account details which will be fetched by the Bank will be displayed to the User on his mobile phone/device in the message format. The User has to validate such account details by entering the last six digits of his Debit Card andthe expiry date of Debit Card along with the OTP which will be sent to the User on his registered mobile number or by providing the Aadhaar details linked with the Bank. This will be followed by setting up a UPI PIN for the account in the application, to completethe account addition process by the User. All these details will be entered by the User on the NPCI Library that would be fetched in theapplication from NPCI Library in encrypted form. The user will also have the option to reset the UPI Pin through below mentioned flows –
- Debit Card - The user will have the option to reset the UPI Pin by entering the last six digits of the debit card along with the OTP which will be sent to the issuer on the registered mobile number.
- Aadhar OTP – The user will have the option to reset the UPI pin through Aadhar. The user will be required to enter the first 6 digits of the aadhar and provide two OTPs ( Issuer bank and UIDAI ).
- After the successful account addition in the Axis Pay application, the User has to only authorize the transaction by entering the UPIPIN set-up by said User. This UPI PIN will be set-up by the User directly on the NPCI library and Axis bank would not be able to read or copy such UPI PIN, thus Axis Bank will not be responsible to maintain the confidentiality of such UPI PIN
- The User should act in good faith, exercise reasonable care and diligence and shall be solely responsible for the confidentiality ofhis account details, debit card details, OTP or UPI PIN and any personal information (“credentials”). User acknowledges, represents and confirms that his credentials are personal to the him and the User shall ensure at all times to keep the same confidential andAxis Bank shall not be held liable or responsible if the User discloses his credentials to any third party in any manner whatsoever or authorizes any third party to operate account or hands over his application or if third party changes/modifies the credentials in theapplication due to disclosure of such credentials by the User or misuse the application permitted by User to use by third party.Therefore, Bank shall not be held liable or responsible in case of any details including UPI PIN are compromised by User and/or anymisuse of Application by third party, in such case the User shall be solely liable and responsible and shall keep Axis Bank indemnified, harmless and absolved from any liability in this regard including from any loss, cost, penalty, charges, including legal fees/charge, etc; which may cause to Axis Bank due to User’s disclosure of his credentials/UPIPIN to any third party/person or any misused thereof in any manner whatsoever including the misuse of Application by third party. The User shall be solely liable and responsible, in case if the said details are compromised by the Customer knowingly or unknowingly, in any manner whatsoever. In case of UPI Litetransaction done on a UPI Lite enabled app, UPI PIN is not required to be entered by the user. The limit of each UPI Litetransaction in INR 500.00 or as prescribed by NPCI from time to time.
- Axis Bank account and Non Axis Bank account details of the User would be stored at Axis Bank server database to the extant details provided by NPCI as per NPCI guidelines.
- User shall adhere to the limit set Axis Bank for making any fund transfer under said facility.
- For the purpose of availing this facility, User shall take all necessary precautions to prevent unauthorized and illegal use of Application and services offered through the facility.
- The User will be required to register his details including bank account details after downloading the Application to Send and Receive the funds through said facility.
- The User shall be responsible for maintaining the confidentiality of UPIPIN/ OTP/Code/password and for all the consequences which may arise due to use or misuse of such UPIPIN/OTP/Passcode/password.
- The User shall be responsible for any and all the fund transferred to beneficiaries at their request or received by using the Application.
- The User shall be liable for all loss caused due to negligent actions or a failure on his part to immediately notify Axis Bank within a reasonable time, about any unauthorized use/access made on his behalf in the Application or misuse of MPIN/OTP/Passcode/password or any other breach of security regarding the facility, of which he has knowledge.
- The User irrevocably and unconditionally authorise Axis Bank to access all the necessary information for effecting transactions executed by him under the facility and to share his necessary information with any third parties for the purpose of accepting/ executing such requests.
- Axis Bank may keep records of the transactions in any form it wishes. In the event of any dispute, Bank's records shall be binding as the conclusive evidence of the transactions carried out through the said Application.
- The User shall not to use/access the Application and/or services offered through the same in any manner other than as authorized byAxis Bank. In case the User uses the Application for any purpose which is illegal, improper or which is not authorised under these terms/other specified terms & conditions then Axis Bank has a right to take all reasonable measures in order to prevent such unauthorised access by the User.
- The User confirms that, any instructions given by him shall be effected only after validation of authentic UPIPIN/OTP/Passcode/Password used by him for availing such facility.
- The User agrees and confirms that, once the transaction is materialized, any stop-payment instructions given by him cannot be accepted and acted upon by Axis Bank.
- The User shall while utilizing the facility ensure that:
- he has authority to access and avail the services obtained and shall duly comply with the applicable laws and regulations prevailing in India.
- he shall provide Axis Bank with such information and/or assistance as is required by Axis Bank for the performance of the service and /or any other obligations of Axis Bank under this facility.
- he shall be responsible for providing the accurate and authentic information/instructions to Axis Bank for availing such facility.
- he shall not at any time provide to any person, with any details of accounts held by him with Axis Bank or any other Bank including the passwords, account number which are allotted, from time to time.
- The User acknowledges that, the services offered by Axis Bank under the said facility shall be availed by him at his own risk and these risks shall include the following risks:
- any technical error, failure, glitch, network failure, legal restraints and other reasons which is beyond control of Axis Bank and for which Axis Bank shall not hold in any manner
- any loss, damages, etc. that may be incurred/suffered by User, for the reason that the information provided by him turns out to be wrong/incorrect/inaccurate, for which Axis Bank shall not be held responsible.
- for the performance of any service provider/other third party/entity involved in the process; and for any loss or damage incurred or suffered by User for any error, defect, failure or interruption of the service or consequences arising out of delayed fund transfer.
- any loss of damage arising or resulting from delay in transmission delivery or nondelivery of online/electronic instructions or any mistake, omission or error in transmission or delivery thereof or in decrypting the instructions from any cause whatsoever or from its misinterpretation received or any act or even beyond control of Axis Bank.
- the technology for enabling the transfer of funds and the other services offered by Axis Bank under the said facility over the MobilePayment Application could be affected by virus or other malicious, destructive or corrupting code, program or macro. It may be possible that the said Application/ server of Axis Bank may require maintenance and during such time it may not be possible to process the request/transaction of the Users. This could result in delays in the processing of instructions or failure in the processing ofinstructions and other such failures and inability. User understand that Axis Bank disclaims all and any liability, whether direct or indirect, whether arising out of loss or otherwise arising out of any failure or inability by the Bank to honour any User instruction for whatsoever reason.
- the User shall be entering all his sensitive information including such as account details, debit card details, OTP or UPIPIN and any personal information in NPCI library for authorizing any transaction initiated by the User and the final authorisation of any such transaction which will be done by the Issuing bank only after confirmation received from the Issuing bank from the User. User agrees and confirms that, he shall be alone responsible for use/disclosure of his details as mentioned herein, for initiating/authorizing any transaction through Application via NPCI and the Issuing bank and shall keep Axis Bank indemnified,harmless and absolved from any liability in this regard including from any loss, cost, penalty, charges, including legal fees/charge,etc; which may cause to Axis Bank due to use/disclosure of User’s details mentioned herein by User, over NPCI Library and to the Issuing bank for seeking their confirmations, in respect of any transaction initiated/authorized by the User. Therefore, the User shall be solely liable and responsible, in such case if any loss, cost, penalty, charges, including legal fees/charge, etc; incurred to the User, in any manner whatsoever in this regard.
- The User agree that Axis Bank shall assume no responsibility in respect of:
- Transactions carried out under the service in good faith relying on User’s instructions.
- Not carrying out transactions where Axis Bank has reason to believe in its sole discretion that the instructions are not genuine or are otherwise unclear, improper, vague or doubtful.
- For any loss or damage incurred or suffered by User for any error, defect, failure or interruption of the service or consequences arisingout of delayed transfer/remittance and for any reason which is beyond control of Axis Bank.
- User acknowledge and agree that Axis Bank remains a mere facilitator for this service and that Axis Bank does not warrant or claimany responsibility for this facility nor does Axis Bank endorse any such service and/or its standing or reputation whatsoever and Axis Bank shall not liable for any deficient or bad services in any manner whatsoever and for any loss, whatsoever that User may suffer. The risk in this regard is entirely on the User.
- Unauthorized access of any third party to the information/instructions given by user to third party using said facility.
- For any direct, indirect or consequential damages occurred to User while availing this facility, arising out of any error in the facility and which are beyond control of Axis Bank.
- When Axis Bank acted in good faith.
- Any loss, damage, liability caused or suffered by User due to disclosure of all information of confidential nature
- In respect of UPI System, as the connectivity to UPI System is extended to the Axis Bank only and any/all secure credentials that are required to process the transaction shall be provided by the User which will be captured and encrypted as per the construct and requirement of UPI only, by NPCI. Therefore, the secure mechanism or interface will be extended by NPCI through UPI system to Axis Bank including but not limited to secured credentials or sensitive information such as User’s UPIPIN, Account details, Debit card Number, Expiry date, OTP, etc in encrypted manner.
- User agree that, charges if any for the facility offered by Axis Bank will be at the sole discretion of Axis Bank and Axis Bank is at the liberty to withdraw/modify/vary the same from time to time, without giving any notice to me/us.
- The Bank at its sole discretion reserves the exclusive right to block, temporarily or permanently, virtual payment address(es) of the User, if it identifies that the user-name or words used in the virtual payment address(es), as misleading, offensive, prohibited, promotional or brand-names, trademark or copyright pertaining to any third party, with or without prior intimation to the User, for which the Bank shall not be held liable or responsible in any manner whatsoever.
- The User agree that, if his bank account is closed/blocked pursuant using the facility, for any reason whatsoever, user shall settle the issue directly with his Bank and shall not hold Axis Bank any way responsible for the same.
- The User shall remain responsible for any and all the transactions made through the facility. Axis Bank may withdraw or terminate thefacility anytime or in case of breach of terms by me/us without a prior notice; or if Axis Bank learns of demise, bankruptcy or lack of legal capacity of the User or for any reason whatsoever.
- The User agree that, User is not entitled to consolidate amounts available in his different bank accounts maintained with a his bank(s) for making payments using said Application. Therefore, at one given point of time User is entitled to use funds available in particular bank account which he has chosen for making payment using the said Application.
- The User agree to indemnify, defend and hold harmless Axis Bank and its directors, officers, owners, agents, co-branders or other partners, employees, information providers, licensors, licensees, consultants, contractors and other applicable third parties (collectively"Indemnified Parties") from and against any and all claims, demands, causes of action, debt or liability, including reasonable attorney's fees, and costs incurred by the Indemnified Parties arising out of, related to, or which may arise from:
- any breach or non-compliance by User of any term of these Terms of Service or any other additional terms & conditions and policies of Axis Bank;
- any dispute or litigation caused by Users actions or omissions;
- any negligence or violation or alleged violation of any law or rights of a third party.
- Axis Bank may provide the any services through this Application, directly or through its associates or contracted service providers on its behalf.
- User agrees and understand that, whenever there are declines due to insufficiency of funds in User's Account for recurring payments for categories which fulfills the requirement of 'Promise to Pay a debt or a liability' for e.g. EMI (Equated Monthly Installment), Loanrepayment, same shall be deemed to be an offense committed by the User under Section 25 of the Payment and Settlement Act, 2007 (PSSAct) which provides that dishonor of any electronic funds transfer due to insufficiency of funds in a User's Account or due to the electronic fund transfer exceeding the amount arranged to be paid from the User’s' Account by an agreement made with the User's bank. User is fully aware that, the aforesaid section accords the same rights and remedies to the payee (beneficiary) against the aforesaid dishonor of electronic fund transfer as are available to the payee of a cheque under Chapter XVII of the Negotiable Instruments Act, 1881, provided the electronic funds transfer was initiated in accordance with the procedural guidelines issued by the system provider.
- Accordingly, User agrees that a decline of AutoPay transaction initiated under the category codes specified below and to make payment of money for discharge of any legally enforceable debt or other liability, due to insufficiency of funds in User’s' Account as outlined in Section 25 of the PSS Act, for the defined categories will be dishonor of electronic fund transfer as per the said section. The relevant categories codes are as follows:
- Loan Payments - MCC 7322
- EMI Collection - MCC 7322
Limitations on transactions
Following limits on transactions shall be applicable to each User for availing the facility offered through the Mobile Payment Application:
- Fund transfer using Axis Bank Account up to Rs. 100,000/- per transaction.
- Fund transfer using other Bank account ; This may vary from bank to bank. User may contact the issuing bank to know the limits set for UPI.
- Fund transfer from Axis Bank Savings/ Current Account to Axis Bank NRO Account.
- Fund transfer from Axis Bank Savings/ Current Account to Axis Bank NRE Account.
FOR NON-RESIDENT ACCOUNTS: I/We hereby declare that I/We am/are non-resident Indian(s)/ Person(s) of Indian origin. The account will be put into use for bonafide transactions not involving any violations of the provisions of any Government/Exchange Control Regulation. I/We agreeto abide by the provisions of the, Non Resident (External) Account Scheme, Non-Resident (Ordinary) Account Scheme as the case may be. I/Weshall not make available to any person resident in India, foreign currency against reimbursement in Rupees or any other manner in India. I/Wewould confirm that all debits to my/our accounts for the purpose of investment in India and credits representing sale proceeds of investments in India are covered either by general or special permission of the Reserve Bank of India as per FEMA Regulations, 2016 Notification No. FEMA5R/2016-RB. I/We undertake to inform AXIS BANK regarding change in my/our residence/employment/residential status and provide further information as and when required by AXIS BANK as per Reserve Bank of India circular No. RBI/2015-16/390 A.P. (DIR Series) Circular No.67/2015-16 [(1/5R)] and as amended from time to time.
FOR FOREIGN NATIONAL OF NON-INDIAN ORIGIN: I/We hereby declare that I/We am/are Foreign National/s of non-Indian origin. The account will be put into use for bonafide transactions not involving any violations of the provisions of any Government/Exchange Control Regulation. I/We shall not make it available to any person resident in India, foreign currency against reimbursement in Rupees or any other manner in India. I/We would confirm that all debits to my/our accounts for the purpose of investment in India and credits representing sole proceeds of investments in India are covered either by general or special permission of the Reserve Bank of India. I/We undertake to inform AXIS BANK regarding change in my/our residence/employment/residential status and provide further information that AXIS BANK may require from time to time.
Master Direction - Liberalised Remittance Scheme (LRS)
- The total amount of foreign exchange purchased from or remitted through, all sources in India, during this financial year including UPI shall be up to USD 2,50,000 (USD two lakh fifty thousand or as per the annual limit prescribed by Reserve Bank of India (‘RBI’) towards international transactions from time to time.
- Transaction details of which are specifically mentioned in the Schedule is not designed for the purpose of any contravention or evasion of the provisions of the Foreign Exchange Management Act, 1999 and any rule, regulation, notification, direction or order made thereunder (‘FEMA Rules and Regulations’).
- Any refusal to comply with any requirement or make unsatisfactory compliance therewith of the FEMA Rules and Regulations, theBank has the right to refuse in writing to categorise the transaction and shall, if it has reason to believe that any contravention / evasion is contemplated, report the matter to RBI. Further, the individual shall have to apply for compounding in case of any contravention of the provisions of FEMA Rules and Regulations and can refer link for queries: www.rbi.org.in/commonperson/English/Scripts/FAQs.aspx?Id=835
Indemnity:
In consideration of Axis bank agreeing to provide the Facility and access to the Application and/or services to the User, the User shall, at his own expense, hereby irrevocably agrees, to indemnify and keep Axis bank its directors and employees, representatives, agents and/or affiliates (hereinafter referred to as “the related parties”), as the case may be, indemnified and harmless, at all times hereafter, from all losses, damages, costs, legal fees, charges and expenses and consequences whatsoever, on full indemnity basis, suffered or incurred or likely to suffer by Axis bank or the related parties on account of any claims, actions, suits or otherwise instituted by the User, or any third party whatsoever, arising out of or in connection with the use of the Facility and any and all transactions initiated by the use of the Facility and/or Application, whether with or without the knowledge of the User, or whether the same have been initiated bona fide or otherwise which transactions, the User hereby acknowledges, Axis bank or the related parties has processed on the User’s transaction instructions and authority of the User in accordance with these terms and conditions and other applicable specific terms and conditions, as the case may be. The User further agrees and confirms that this indemnity shallremain valid and subsisting and binding upon the User notwithstanding partial withdrawal of the Facility.
The User will pay Axis Bank and /or the related parties such amount as may be determined by Axis Bank and/or the related parties to be sufficientto indemnify it against any such loss or expenses even though they may not have arisen or are contingent in nature.
The User agrees to pay any and all costs, damages and expenses, including, but not limited to, reasonable attorneys' fees and costs awardedagainst it or otherwise incurred by or in connection with or arising from any such claim, suit, action or proceeding attributable to any such claim.
Confidentiality and Disclosure:
To the extent not prohibited by applicable law, the Axis bank shall be entitled to transfer any information relating to the User and/or any other information given by the User for utilization of the Facility to and between its branches, representative offices, affiliates, representatives, auditors and third parties selected by Axis bank, wherever situated, for confidential use in and in connection with the Facility. Further, Axis bank shall be entitled at any time to disclose any and all information concerning the User within the knowledge and possession of Axis bank to any other bank/association/financial institution or any other body. This clause will survive the termination of this agreement.
Accuracy of Information:
The User takes the responsibility for the correctness of the information supplied by him to the Bank through the use of the said facility or through use of the Application or by any other means.
The User herein accepts that in case of any discrepancy in the information provided by him with regard to this facility the onus shall lie upon theUser only and thus agrees to furnish accurate information at all times to Axis Bank. If the User suspects that there is an error in the informationsupplied by Axis Bank to him, he shall inform the Bank immediately. Axis Bank will endeavor to correct the error promptly wherever possible on a best effort basis.
Axis Bank shall also not be responsible for any incidental error which occurs inspite of necessary steps being taken by the Bank to ensure theaccuracy of the information provided to the User and the User shall not have any claim against Axis bank in an event of any loss/damage suffered by the User as a consequence of the inaccurate information provided by the Bank.
Termination:
Axis Bank may, at its discretion, withdraw temporarily or terminate the Facility, either wholly or in part, at any time without giving prior notice to the User. Axis Bank may, without prior notice, suspend the Facility at any time during which any maintenance work or repair is required to becarried out or in case of any emergency or for security reasons, which require the suspension of the Facility. The closure of the account of the User will automatically terminate the Facility. Axis Bank may suspend or terminate Facility without prior notice if the User has breached these termsand conditions or Axis Bank learns of the death, bankruptcy or lack of legal capacity of the User. Except as otherwise provided by the applicable law or regulation, Axis bank reserves the right to terminate the Facility and/or expand, reduce or suspend the transactions allowed using thisFacility, change the process and transaction limits associated with this Facility based on security issues, at any time, without any prior notice to the User.
Disclaimers:
Axis bank shall be absolved of any liability in case:
- The User fails to avail the facility due to force majeure conditions including but not limited to not being in the required geographical range or any other reason including natural calamities; legal restraints any technical lapses in the telecommunication network or any other reasons beyond theactual control of Axis Bank, the Bank shall not be accountable. Also the Bank is herein absolved of any kind of liability arising due to a loss; direct or indirect incurred by the User or any other person due to any lapse in the facility owing to the above-mentioned reasons.
- The User is acting in good faith on any transaction instructions received by Axis bank
- There is any unauthorized use of the User's UPIPIN, Password, Passcode, OTP or Mobile Phone or Mobile Phone Number for any fraudulent, duplicate or erroneous transaction instructions given by use of the User's UPIPIN, Password, Passcode, OTP or Mobile Phone or Mobile Phone Number;
- There is loss of any information during processing or transmission or any unauthorized access by any other person or breach of confidentiality.
- There is any lapse or failure on the part of the service providers or any third party affecting the said facility and that Axis bank makes no warrantyas to the quality of the service provided by any such service provider or any third party.
Axis Bank does not warrant the confidentiality or security of the messages or notifications whether personal or otherwise transmitted through the Application in respect of the said Facility. Axis Bank makes no warranty or representation of any kind in relation to the system and the network ortheir function or performance or for any loss or damage whenever and howsoever suffered or incurred by the User or by any person resulting fromor in connection with the Facility. Axis Bank, its directors and employees, agent or contractors, shall not be liable for and in respect of any loss or damage whether direct, indirect or consequential, including but not limited to loss of revenue, profit, business, contracts, anticipated savings or goodwill, loss of use or value of any equipment including software, whether foreseeable or not, suffered by the User or any person howsoever arising from or relating to any delay, interruption, suspension, resolution or error of the Bank in receiving and processing the request and in formulating and returning responses or any failure, delay, interruption, suspension, restriction, or error in transmission of any information or message to and from the telecommunication equipment of the User and the network of any service provider and the Bank's system or any breakdown, interruption, suspension or failure of the telecommunication equipment of the User, the Bank's system or the network of any service provider and/or any third party who provides such services as is necessary to provide the Facility.
Notwithstanding anything in the contrary provided in this terms and conditions, Axis Bank shall not be involved in or in any way liable to the User for any dispute between the User and a cellular services provider or any third party service provider (whether appointed by the Bank in that behalf or otherwise).
Any loss incurred by the user due to use of the facility by any other person with an express or implied permission of the User. Axis bank shall notbe held responsible for the confidentiality, secrecy and security of the personal or account information being sent through the facility for effecting the User's instructions.
Axis bank shall not be held liable for any loss suffered by the user due to disclosure of the personal information to a third party by the Bank, for reasons inclusive but not limited to participation in any telecommunication or electronic clearing network, in compliance with a legal directive, for statistical analysis or for credit rating.
Modification / Alterations To The Facility:
Axis Bank reserves the absolute discretionary right to make any amendments in the given terms and condition at any time as it may deem fit without any prior notice to the User. Any such amendment shall be communicated to the User by displaying on the website http://www.axisbank.com and the User shall be bound by such amended terms and conditions.
Communication:
Axis Bank and the User may give notice under these terms and conditions electronically to the mailbox of the User (which will be regarded as being in writing) or in writing by delivering them by hand or by sending them by post to the last address given by the User and in case of Axis Bankat its office at Service Quality Department, Axis Bank Limited, Corporate Office, Bombay Dyeing Mills Compound, Pandurang Budhkar Marg, Worli, Mumbai - 400025, Tel: (022) 2425 2525. In addition, Axis Bank shall also provide notice of general nature regarding the facility and terms and conditions, which are applicable to all Users of the Facility, on the website http://www.axisbank.com and/ or also by means the customized messages and notifications sent to the User over his Mobile Phone Number as short messaging service ("SMS"). In addition Axis bank may also publish notices of general nature, which are applicable to all users of the facility. Such notices will be deemed to have been served individually to each User.
Governing law and jurisdiction:
The construction, validity and performance of these terms and conditions shall be governed in all respects by the laws of India. The parties hereby submit to the exclusive jurisdiction of the competent Courts at Mumbai, India which courts shall have jurisdiction in the matter to the exclusion of any other courts, irrespective of whether such other courts have similar jurisdiction in the matter. Axis Bank is absolved of anyliability arising, direct or indirect, for non-compliance with the laws of any country other than India where the facility is accessible.

- Negative Categories: Negative Categories shall mean the following goods or services listed below:
- Adult goods and services which include pornography and other sexually suggestive materials (including literature, imagery and other media); escort or prostitution services.
- Alcohol which includes Alcohol or alcoholic beverages such as beer, liquor, wine, or champagne.
- Body parts which include organs or other body parts.
- Bulk marketing tools which include email lists, software, or other products enabling unsolicited email messages (spam).
- Cable descramblers and black boxes which includes devices intended to obtain cable and satellite signals for free.
- Child pornography which includes pornographic materials involving minors.
- Copyright unlocking devices which include Mod chips or other devices designed to circumvent copyright protection.
- Copyrighted media which includes unauthorized copies of books, music, movies, and other licensed or protected materials.
- Copyrighted software which includes unauthorized copies of software, video games and other licensed or protected materials, including OEM or bundled software.
- Counterfeit and unauthorized goods which includes replicas or imitations of designer goods; items without a celebrity endorsement that would normally require such an association, fake autographs, counterfeit stamps, and other potentially unauthorized goods.
- Cryptocurrency Exchanges, platforms dealing in cryptocurrency trading
- Drugs and drug paraphernalia which includes illegal drugs and drug accessories, including herbal drugs like salvia and magic mushrooms.
- Drug test circumvention aids which include drug cleansing shakes, urine test additives, and related items.
- Endangered species which includes plants, animals or other organisms (including product derivatives) in danger of extinction.
- Gaming/gambling which includes lottery tickets, sports bets, memberships/enrollment in online gambling sites, and related content.
- Government IDs or documents which include fake IDs, passports, diplomas, and noble titles.
- Hacking and cracking materials which includes manuals, how-to guides, information, or equipment enabling illegal access to software, servers, or other protected property.
- Illegal goods which includes materials, products, or information promoting illegal goods or enabling illegal acts.
- Miracle cures which include unsubstantiated cures, remedies or other items marketed as quick health fixes.
- Offensive goods which include literature, products or other materials that: a) Defame or slander any person or groups of people based on race, ethnicity, national origin, religion, sex, or other factors b) Encourage or incite violent acts c) Promote intolerance or hatred.
- Offensive goods, crime which includes crime scene photos or items, such as personal belongings, associated with criminals.
- Prescription drugs or herbal drugs which include drugs or other products requiring a prescription by a licensed medical practitioner.
- Pyrotechnic devices and hazardous materials which includes fireworks and related goods; toxic, flammable, and radioactive materials and substances.
- Regulated goods which includes air bags; batteries containing mercury; Freon or similar substances/refrigerants, chemical/industrial solvents, government uniforms, car titles or logos, license plates, police badges and law enforcement equipment, lock-picking devices, pesticides; postage meters, recalled items, slot machines, surveillance equipment; goods regulated by government or other agency specifications.
- Securities, which includes stocks, bonds, or related financial products.
- Tobacco and cigarettes which includes cigarettes, cigars, chewing tobacco, and related products.
- Traffic devices which include radar detectors/jammers, license plate covers, traffic signal changers, and related products.
- Weapons which include firearms, ammunition, knives, brass knuckles, gun parts, and other armaments.
- Wholesale currency which includes discounted currencies or currency exchanges.
- Live animals or hides/skins/teeth, nails and other parts etc. of animals.
- Multi Level Marketing collection fees.
- Ponzi schemes, pyramid and chain marketing.
- Matrix sites or sites using a matrix scheme approach.
- Drop-shipped merchandise.
- Any product or service which is not in compliance with all applicable laws and regulations whether federal, state, local or international including the laws of India.
- The Merchant shall not sell, purchase, provide or exchange a cardholder’s name or MasterCard / Visa account number information in any form obtained by reason of a MasterCard/ Visa Card transaction to any third party other than its MasterCard/ Visa acquiring Member-Citrus Pay, or pursuant to a government /statutory or competent body’s request.
- Pyrotechnic devices, combustibles, corrosives and hazardous materials which includes explosives, fireworks and related goods; toxic, flammable, and radioactive materials and substances.

Miscellaneous Terms
The use of the Platform or availing of our Services is subject to the following additional terms of use:
- To access and use the Services, you agree to provide true, accurate and complete information to us during and after registration, and you shall be responsible for all acts done through the use of your registered account.
- Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials offered through the Services, for any specific purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.
- Your use of our Services is solely at your own risk and discretion. You are required to independently assess and ensure that the Services meet your requirements.
- The contents of the Services are proprietary to us and you will not have any authority to claim any intellectual property rights, title, or interest in its contents.
- You acknowledge that unauthorized use of the Services may lead to action against you as per these Terms or applicable laws.
- You agree to pay us the charges associated with availing the Services.
- You agree not to use the Services for any purpose that is unlawful, illegal or forbidden by these Terms, or Indian or local laws that might apply to you.
- You agree and acknowledge that the Services may contain links to other third party websites. On accessing these links, you will be governed by the terms of use, privacy policy and such other policies of such third party websites.
- You understand that upon initiating a transaction for availing the Services you are entering into a legally binding and enforceable contract with us for the Services.
- You shall be entitled to claim a refund of the payment made by you in case we are not able to provide the Service. The timelines for such return and refund will be according to the specific Service you have availed or within the time period provided in our policies (as applicable). In case you do not raise a refund claim within the stipulated time, then this would make you ineligible for a refund.
- Notwithstanding anything contained in these Terms, the parties shall not be liable for any failure to perform an obligation under these Terms if performance is prevented or delayed by a force majeure event.
- These Terms and any dispute or claim relating to it, or its enforceability, shall be governed by and construed in accordance with the laws of India.
- All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Jasola, DELHI.
- All concerns or communications relating to these Terms must be communicated to us using the contact information provided on our website.
To the extent that any terms in this Exhibit A.3 conflict with any other terms, the other Terms shall control.
ADDENDUM B - FUEL/GAS STATION TRANSACTIONS
This Addendum applies to your use of the Platform to locate, initiate, and complete transactions at participating fuel or gas stations. It forms part of the Terms and governs all fuel-related services enabled through the Platform in your connected vehicle or smartphone.
B.1 Fuel Transaction Enablement. The Platform allows you to initiate and complete fuel purchases at selected service stations. This may include:
- Identifying nearby participating fuel stations;
- Selecting a fuel outlet and or pump number from your mobile phone or in-vehicle screen;
- Authorizing payment and or activating the pump remotely;
- Providing the proof of the payment (e.g. QR code) to the fuel attendant (if applicable); and
- Receiving digital receipts.
Fueling services are offered and controlled by the fuel station operator, not Sheeva.
B.2 Location Data. To facilitate seamless fueling, Sheeva may use your mobile device’s or vehicle’s real-time location to:
- Determine eligibility for payment and or pump activation;
- Pre-fill pump selection based on proximity at a fuel station (if applicable); and
- Prevent unauthorized fueling.
By using these services, you consent to Sheeva accessing and processing this data as described in Section 4 of the Terms.
B.3 Payment and Authorization. Fuel payments will be processed using your selected payment method. You authorize Sheeva and its payment partners to:
- Place a temporary pre-authorization hold based on estimated fuel cost (if applicable);
- Adjust the final charge based on actual fuel dispensed;
- Charge you using your selected payment method for the actual fuel dispense; and
- Provide transaction records through your account dashboard in the mobile phone, WhatsApp, online portal, or other means of communication.
If payment authorization fails, you may be required to use an alternative payment method to complete the transaction and present proof of payment for the fuel station personnel (e.g. fuel attendant). At locations where fueling automation is enabled, the pump may not activate, and the transaction will be cancelled.
B.4 Pricing and Disputes. Fuel prices are set by the fuel station and are visible either through the Platform or at the pump. Sheeva is not responsible for:
- Price discrepancies between posted signs and Platform displays;
- Delays, errors, or outages at the merchant location; or
- Fuel quality or accuracy of quantity dispensed.
If you believe a fuel transaction was inaccurate or charged in error, you must contact support@sheeva.in within 30 days or as permitted by law. Sheeva will review your request and may coordinate with the merchant and other 3rd parties, but does not guarantee refunds or reversals.
B.5 Safety and Restrictions. You agree not to use the Platform while operating a vehicle. Fuel payment should only occur:
- When the vehicle is parked at a compatible station;
- When the vehicle is not running;
- By the driver or a designated passenger; and
- In compliance with all posted fueling safety rules.
Sheeva reserves the right to suspend access to fueling features for accounts or vehicles engaged in unauthorized or unsafe activity.
B.6 Limitations of Service. Pump activation and fuel payment capabilities may not be available at all stations or at all times. Sheeva is not responsible for:
- Network outages, pump malfunctions, or merchant downtime;
- Unauthorized use of your account; and
- Inability to complete a transaction due to system or merchant errors.
B.7 Fuel Merchant Terms.
- Indian Oil Corporation Ltd. (“IOCL”)
- You acknowledge that to be eligible for discounts at IOCL fuel stations, you must become a customer of IOCL. By purchasing fuel from IOCL using the Platform, you hereby agree to allow Sheeva to sign you up for IOCL loyalty and reward programs, which includes permitting Sheeva to transmit your personal information to IOCL. You agree to share with Sheeva any details IOCL requires from you to participate in IOCL loyalty programs, such as, but not limited to, your: Name, Address, Date of Birth, Pin Code, and Mobile No. The data required from you may change from time to time and you agree to provide Sheeva with any data that may be required for IOCL’s registration in its loyalty and rewards system.
- You acknowledge and agree that you shall agree to all relevant IOCL terms and conditions that Sheeva may provide to you that apply to your use of IOCL services.
- You acknowledge and agree that IOCL is permitted to directly contact you and that IOCL will act as the primary and direct contact with you for all issues that may arise in relation only to IOCL products or services (including any IOCL reward or loyalty programs).
- By fueling at an IOCL station, you acknowledge and agree to the IOCL terms and conditions listed in Exhibit B including the IOCL XTRAREWARDS terms and conditions at the provided URL, which may be updated by Sheeva and IOCL from time to time. By continuing to use the Sheeva Platform and IOCL services, you agree to any updated terms and conditions provided by Sheeva or IOCL.
Exhibit B to Addendum B: Terms and Conditions of IOCL XTRAREWARDS Programme
- You shall provide the requisite personal profile information such as name, address, mobile no, date of birth, etc. to Sheeva. Sheeva will provide your requisite person profile information to IOCL for the creation of your IOCL XTRAREWARDS Loyalty Account. New profile information requirements will be communicated by Sheeva to you from time to time.
- The award of IOCL XTRAREWARDS points will be at the sole discretion of IOCL and will be applicable only for fuel purchases made at IOCL retail outlets only or can be redeemed by way of e-vouchers from on any e-commerce platform, being made available by IOCL. The award of IOCL XTRAREWARDS points will be subject to the maximum fuel purchase value for a given month or 30-day period. The present limit is Rs 12,000/- per card per month. The limits may be revised in future. Any revision in the limits will be communicated to all the XTRAREWARDS members.
- The award of IOCL XTRAREWARDS points will be in multiple of Rs 75/- i.e. 1 point for Rs 75/- purchase value of the fuel. 1 point value (of an IOCL XTRAREWARDS) is equal to Rs 0.30/-. The award amounts may be revised in future by IOCL at any time.
- A minimum of 50 IOCL XTRAREWARDS points will be required for carrying out redemption through a payment partner mobile application. The minimum quantity of IOCL XTRAREWARDS points required may be revised in the future by IOCL at any time.
- You acknowledge and agree to the IOCL XTRAREWARDS terms and conditions as hosted on the website https://cx.indianoil.in/webcenter/portal/Customer/pages_xtrarewards. You acknowledge and agree that IOCL XTRAREWARDS terms and conditions will also be applicable for your participation in IOCL’s XTRAREWARDS membership.
- You acknowledge and agree that Sheeva can import and use know your customer (“KYC”) information that IOCL may already for you from any other IOCL program and use such KYC information to sign you up to the IOCL XTRAREWARDS program.
- You acknowledge and accept that you give permission to Sheeva and its third party vendors providing vehicle payment services (including Indian Oil Corporation Ltd. and its affiliated companies – “IOCL”) to import and use any information I have previously provided to IOCL for any other IOCL program to sign me up to the IOCL XTRAREWARDS program, maintain my membership in the IOCL XTRAREWARDS program, and provide benefits in the IOCL XTRAREWARDS program.
ADDENDUM C - TOLL RECHARGE TRANSACTIONS
This Addendum governs your use of the Platform for recharging toll tags, and when available initiating and managing toll payments on highways, bridges, tunnels, and other toll-eligible routes. This Addendum is incorporated into and forms part of the Sheeva Terms and applies specifically to toll-related services enabled through the Platform.
C.1 Overview of Toll Services. The Sheeva Platform may support toll related payments by:
- Facilitating payment for tolls including recharging your toll tag (e.g., FASTag);
- Communicating with participating processing networks.
These services are made available through the Platform’s integration with Axis Bank, the “National Payments Corporation of India” (“NPCI”), and Bharat Bill Payment System (BBPS) service (“Toll Recharge Operators”).
C.2 Eligibility and Geographic Availability. Toll recharge services are available only in regions and jurisdictions where Sheeva has established integrations with the applicable Toll Recharge Operators. Availability may vary based on:
- Federal, state, or local regulations;
- Toll Recharge Operator rules and regulations.
You are responsible for verifying whether toll recharge payment via the Platform is enabled in your region before relying on the Platform to facilitate payments for recharging toll tags.
C.3 Toll Detection and Session Management. Toll detection and payment is not yet offered by Sheeva.
Sheeva is not responsible for incorrect toll detection for any reason.
C.4 Payment Authorization and Processing. By using the toll recharge payment feature, you authorize Sheeva to:
- Where applicable, transmit your relevant information to the Toll Recharge Operator (e.g., name, license plate number, account information, etc.);
- Facilitate the payment to replenish your toll account, e.g. FASTag; and
- Store toll replenishment history and receipts in your Sheeva account.
Toll charges may include:
- Standard usage fees;
- Regional surcharges; and
- Administrative or convenience fees.
C.5 Disputes and Toll Violations. You are solely responsible for ensuring that your vehicle and toll tag (where applicable) data (e.g., license plate number, state of registration, FASTag number) is accurate and current. If incorrect vehicle or toll tag information results in a toll violation, missed payment, or administrative fee:
- You will be responsible for resolving the matter directly with the relevant toll operator;
- Sheeva may assist in transmitting updated information related to toll recharge payments, but is not liable for toll enforcement actions.
C.6 Limitations of Service. You understand and accept that:
- Sheeva is not a toll authority and does not control rates, rules, or enforcement;
- You may be responsible for alternative toll payment methods if the Platform is unavailable to recharge your toll tag.
C.7 Exclusions from Liability. Without prejudice to the foregoing, Sheeva shall be under no liability whatsoever to you in respect of any loss or damage arising directly or indirectly out of:
- The refusal of any person to honor or to accept your toll payment.
- The malfunction of any computer system.
- The exercise by Sheeva of its right to terminate your account or suspend your toll recharge payments through the Sheeva Platform.
- Any injury to your credit, character and reputation arising from or related to the refusal of a participating toll plaza to honor or accept payment from you.
- Any misstatement, misrepresentation, error or omission in any details disclosed by Sheeva except as otherwise required by law. Sheeva reserves the right to deduct from the balance available on your account, service charges related to tolls and any expenses, including without limitation legal fees, due to legal action involving you or your tolling account.
C.8 FASTag Terms.
- Toll recharge payments using the Platform are valid for use only in India.
- You acknowledge that to be eligible to use the Platform to pay for toll tag recharges, you must become a customer of FASTag and have a FASTag device and account. You agree to share with Sheeva any details Axis Bank or FASTag requires from you to participate in toll recharge payments through the Sheeva Platform, such as, but not limited to, your: Name, Address, Date of Birth, Pin Code, Vehicle Identification No., License Plate No., and Mobile No. The data required from you may change from time to time and you agree to provide Sheeva any data that may be required for FASTag’s system.
- To the extent applicable, you acknowledge and agree to all relevant Axis Bank and FASTag terms and conditions that Sheeva may provide to you that apply to your use of the FASTag services.
- The you acknowledge and agree that Sheeva reserves the right to revise or downgrade the limit your use of the Platform to recharge your FASTag account at its sole discretion, based on its internal security policies, without prior notice to the customer.
- Further you authorize Sheeva to use the your information for generating specific offers, pertaining to other products and services of Sheeva.
C.9 Termination and Expiration. Sheeva may, at any time, with or without notice, at its absolute discretion terminate or suspend your ability to pay for toll tag recharging using the Platform.
Sheeva may terminate your use of Platform at any time without prior notice, if it considers it necessary for business or security reasons, which may include but not limited to: delay in payments, fraudulent or improper usage, providing misleading or incorrect information or documents, failure to furnish information or documents as required by relevant laws or regulations (including identification documents) as may be required RBI's Know Your Customer (KYC)/Anti-Money Laundering (AML)/Combating of Financing Terrorism (CFT) guidelines, or if you are involved in any civil litigation or criminal proceedings by any authority, court of law, professional body, or professional association.
On termination of your account, the total amount of all charges and the amount of any charges incurred after termination, shall become immediately due and payable by you.
You shall continue to be fully responsible and liable to Sheeva for all toll recharges incurred prior to your account termination.
You may not use the Platform after you have received notice of termination.
C.10 Usage Guidelines. You shall be responsible for all credit facilities granted by Sheeva and for all related charges and shall act in good faith in relation to all dealings with toll usage, toll recharges, and payments. Sheeva accepts no responsibility for any surcharge levied by any toll company, including by NPCI, BBPS, FASTag and debited to the balance available on your account for tolling. Any transaction undertaken at any participating entity shall be conclusive proof that the charge recorded was properly incurred for the amount and by you. An exception to the foregoing sentence is when your vehicle has been lost/stolen or fraudulently misused, the burden of proof for which shall be on you.
You are responsible for all toll recharge transactions initiated using your account, except as otherwise mentioned forth herein. Each time you use the Platform for a toll recharge transaction you authorize Sheeva to reduce the funds available in your account or charge your provided payment method by the amount of the toll recharge transaction. You are not allowed to exceed the available amount in your account through an individual toll recharge transaction or a series of toll recharge transactions. Nevertheless, if a toll recharge transaction exceeds the balance of the funds available in your account, you shall remain fully liable to Sheeva for the toll recharge transaction. Sheeva reserves the right to bill you and deduct funds from your provided payment method for any negative balance. You agree to pay Sheeva promptly for any negative balance. Sheeva also reserves the right to cancel/terminate your account should you create one or more negative balances with your account.
Sheeva reserves the absolute discretion to decline or to honor any toll recharge transaction requests, without assigning any reason thereof.
C.11 Notification of Changes. Sheeva shall have the absolute discretion to amend or supplement any of the terms and conditions of these Terms, features and benefits offered for tolling recharging, including, without limitation to, changes which affect interest charges, rates, convenience fees, and methods of calculation at any time. Sheeva may use the balance available on your account for toll related recharges incurred and all other obligations under the revised terms and conditions, including amendments thereto as may be provided through the Sheeva Platform and shall be deemed to have accepted the amended terms and conditions by continuing to use the Sheeva Platform.
ADDENDUM D - CAR SERVICES
This Addendum applies to your use of the Sheeva Platform to locate, access, and pay for car services at independent 3rd party participating providers. This Addendum D is incorporated into and forms part of the Terms and governs all car services related transactions initiated through your mobile app, online account, or connected vehicle (where available).
D.1 Service Overview. The Platform may enable users to:
- Locate nearby or preferred car repair or car cleaning/detailing facilities;
- View available car repair or car cleaning/detailing pricing and service details;
- Schedule and purchase car repair or car cleaning/detailing services;
- Access digital receipts and service histories.
Car repair and or car cleaning/detailing services (“Car Services”) are provided and operated by independent third-party vendors (“Car Service Operators”), not by Sheeva. The Car Services constitute a technology platform that enables you to use the Platform, provided as part of the Services, to arrange and schedule Car Services with independent third-party providers. Once you submit a request, we may provide you with a list of possible Car Service Operators along with their experience information.
You acknowledge that Sheeva does not provide any Car Services for its customers and that all such above stated Car Services are provided by other independent third-party contractors who are not employed by the Sheeva.
You acknowledge that even after accepting and/or confirming an appointment for Car Services for your car, Sheeva cannot guarantee its availability. At the time of your appointment request to Sheeva, Sheeva will make reasonable efforts to connect you with the independent third-party service provider so that you can obtain relevant Car Services at or near your location.
You acknowledge that the cost and time period for the Car Services are estimated in accordance with your request and are proximate in nature.
D.2 Package Selection and Activation. You may select and purchase Car Services through the Platform or Sheeva’s WhatsApp channel based on the options available at a participating location.
You acknowledge that to be eligible to use the Platform to pay for Car Services, you must become a customer of a 3rd party vehicle service platform and your selected Car Service Operator. By paying for Car Services with Car ServiceService Operators using the Sheeva Platform, you hereby agree to allow Sheeva to sign you up as a customer of the 3rd party vehicle service platform and your selected Car Service Operator, which includes permitting Sheeva to transmit your personal information to the 3rd party vehicle service platform and your selected Car Service Operator. You agree to share with Sheeva any details the 3rd party vehicle service platform and your selected Car Service Operator requires from you to use the Car Service, such as, but not limited to, your: Name, Address, Vehicle Identification No., License Plate No., Vehicle Make & Model, Mobile No, and vehicle problem. The data required from you may change from time to time and you agree to provide Sheeva any data that may be required by the 3rd party vehicle service platform and your selected Car Service Operator.
D.3 Payment and Redemption. You authorize Sheeva to charge your selected payment method at the time of purchase. Pricing is determined solely by the Car Service Operator and may vary by:
- Car Service package selected;
- Location; and
- Time of day or promotional offers.
Unless otherwise stated, purchased wash services must be redeemed within a specified validity period. Refunds are not guaranteed for unused, expired, or missed wash sessions.
D.4 Merchant Obligations and Disputes. Car Services are delivered exclusively by the Car Service Operator. Sheeva is not responsible for:
- The quality or completeness of any Car Service;
- Operational issues at the merchant location;
- Damage to your vehicle caused by equipment or staff; or
- Variations between advertised services and actual results.
If you experience a service issue or believe you were charged in error, you must notify Sheeva at support@sheeva.in within 30 days of the transaction. Sheeva may coordinate with the merchant to resolve the matter but does not guarantee service remediation or financial reimbursement.
You further agree and confirm that Sheeva shall not be responsible, in any manner whatsoever, for any delay/unavailability of Services or failure to meet its obligations under the Agreement, which may be caused, directly or indirectly, due to: your failure to cooperate; your unavailability and/or unresponsiveness; your failure to provide accurate and complete information; your failure to provide or facilitate the submission of your materials in a timely manner; or any event beyond Sheeva's reasonable control.
You further agree that Sheeva shall not be liable for any theft or accident of your vehicles while on the premises of the Car Service Operators. Sheeva will provide reasonable assistance and cooperation in the event of theft or accident of the vehicles while in the premises of the Car Service Operators. Sheeva shall provide all requisite assistance in a timely manner in respect of any insurance claims, reporting to police and/or any other formal steps as may be required but shall not be liable to compensate the you for your loss unless the same is caused due to an act solely attributable to Sheeva or due to gross negligence of Sheeva (and not the Car Service Operator).
D.5 Vehicle Compatibility and Restrictions. You are responsible for ensuring that your vehicle is eligible for the selected Car Services. Some facilities may:
- Restrict vehicles with certain modifications (e.g., bike racks, roof cargo);
- Limit services to specific vehicle types or sizes; and/or
- Require compliance with posted height or clearance limits.
Sheeva is not liable for denied service or additional charges related to vehicle incompatibility.
D.6 Service Limitations. Car Services may not be available in all areas and may be subject to weather conditions, equipment downtime, or staffing limitations. Sheeva does not guarantee:
- The availability of any Car Services;
- Real-time updates of service status or queue length; or
- Immediate access upon arrival.
D.7 Cancellations and Refunds. You have no right to request a refund or cancellation for an accepted Car Service from the Platform. Once you place an order (i.e., upon your acceptance of the estimated cost), you shall not be entitled to cancel such order or seek a refund for the Car Service provided.
D.8 Billing/Charges. You acknowledge that by using the Car Services, you will be subject to charges from a third-party service provider (e.g., a Car Service Operator) for the Car Services you receive ("Charges"). Sheeva, as a limited payment processor for an independent third-party service provider, will facilitate your payment of the applicable Charges after you have received services through your use of the Car Service. The Charges will be handled as if you had directly paid the third-party service provider. All Charges will include all applicable taxes and convenience fees unless otherwise specified by law. Unless otherwise stated by Sheeva, all Charges paid by you are final and non-refundable.
The Charges may be updated or changed at any time as per the analysis of the Car Service Operator or your new requests. The updated Charges shall be communicated to you by Sheeva or the Car Service Operator and only upon your approval of the Charges, the services will be provided by the Car Service Operator.
You acknowledge that the Charges from a Car Service Operator shall be duly paid and on account of default in payment, the same shall be considered as a breach of these terms. In the event you commit such a default/breach, you shall be liable to pay the liquidated damages of an amount equivalent to the value of the said services. You hereby authorize Sheeva to deduct or collect the amount payable as liquidated damages through such means as Sheeva may exercise, including using the payment method you have setup with the Platform.
In case you are in payment default, the Car Service Operator has a right to keep the vehicle in its possession until and unless payment in full has been made by you along with other costs if applicable. In the event you fail to make the payment of the Charges despite the passage of more than 90 days since the completion of the services, Sheeva or the Car Service Operator shall be entitled to recover the same by selling off your vehicle.
You acknowledge that you will be liable for the payment of towing services provided by Sheeva or the Car Service Operator.
In the event you fail to collect your car at the agreed date of delivery, Sheeva or the Car Service Operator shall arrange for the storage of the car at your sole risk and expense. Following such failure by you to collect your car at the agreed date of delivery, a parking fee of Rs. 500 per day will be charged to you for such storage.
Your payment for the Services may be processed through the third-party internet payment service providers. By purchasing any Car Services through the Platform, you hereby consent and agree to abide by such third-party Internet payment service providers' applicable terms and conditions and privacy policies. You agree and acknowledge that Sheeva has no responsibility or liability under the terms and conditions and policies of the third-party internet payment service provider. In the event such third-party internet payment service providers' customer terms and conditions or privacy policies are not acceptable to you, please do not purchase such Car Services through the Platform.
Additionally, we have no authority over, or liability for, the delivery, safety, legality or any other such aspect of transactions or services availed by you through the third-party internet payment service providers. Sheeva will not be responsible for ensuring that any third-party internet payment service provider you work with, will carry out the complete transaction, or has the appropriate authority to do so. In the event you experience any disruptions or problems while making the payment for the Services through the third-party internet payment service providers, or if you have a dispute with such third-party internet payment service providers, you should resolve the disruptions, problems or disputes directly with that third-party internet payment service provider.
WHATSAPP SERVICES INTEGRATION
This Addendum governs the use of Sheeva’s Services via the WhatsApp messaging platform (“Sheeva WhatsApp Service”) and forms part of the Terms.
E.1 Nature of Services
The Sheeva WhatsApp Service is intended to provide limited aspects of the Services, including but not limited to:
- Processing payment transactions for goods and/or services of 3rd party merchants
- Notifications and alerts
- Transaction summaries and confirmations
- General information about Sheeva’s services
- Customer support and assistance.
E.2 Acceptance of Terms and Consents.
E.2.i By accessing the Services through WhatsApp, you hereby agree and consent to Sheeva providing one or more aspects of the Services through WhatsApp as a medium. By accessing the Services through WhatsApp, you also agree to receive messages, notifications, alerts, acknowledgements, updates via WhatsApp on your mobile number registered with Sheeva including, but not limited to, information in relation to your account, transaction details, transaction alert notifications, regulatory updates, personalized offers, new product features, etc. You hereby grant express authority to Sheeva to carry out the Services requested by you on WhatsApp. You hereby agree and consent to Sheeva transmitting, sharing, and/or displaying your information on WhatsApp, including information which may constitute your sensitive personal data or other information, as may be necessary for providing the Services to you.
E.2.ii You agree and understand that the WhatsApp application is owned and controlled by an independent third party which is unaffiliated with Sheeva. Sheeva is not responsible for the privacy or security policies of WhatsApp and any other entity that may be linked to/from/within it and does not assume liability for any damage incurred by you from the use of WhatsApp. You fully understand that Sheeva is not endorsing the products or services of WhatsApp, third party products or services available through WhatsApp, or of any advertisement, etc. appearing in WhatsApp. The use of WhatsApp is an independent arrangement between you and WhatsApp. Your use of WhatsApp shall independently be guided by the privacy policies and terms of use of WhatsApp. You acknowledge and agree that Sheeva is not responsible or liable for the functionality, availability, or performance of WhatsApp. You acknowledge and agree that Sheeva is not responsible or liable for any data loss, privacy issues, or security breaches attributable to WhatsApp or its network.
E.2.iii You agree and understand that UPI is owned and controlled by an independent third party which is unaffiliated with Sheeva. You understand that the UPI registration process may include access to your mobile network and sending a unique SMS using your Device to verify, validate, register and link your bank account on the UPI platform and create a unique Virtual Account Number (“VPA”). The VPA can be used for making payment for Services as permitted by the regulators. Sheeva is not responsible for the privacy or security policies of UPI and any other entity that may be linked to/from/within it and does not assume liability for any damage incurred by you from your use of UPI. You fully understand that Sheeva is not endorsing the products or services of UPI or of any advertisement etc. appearing thereon. The use of UPI shall be an independent arrangement between you and UPI and you shall independently be guided by the privacy policies and terms of use of UPI, and Sheeva shall not be party to the same nor shall have any concern with the same.
E.2.iv You accept that Sheeva reserves the right to provide only such Services through WhatsApp as Sheeva may at its discretion permit from time to time. Sheeva may also advise the availability/nonavailability of any particular Service through WhatsApp, at its sole discretion. You hereby agree that Sheeva may at any time, without notice to you, modify, discontinue or make additions/deletions to the Services offered through WhatsApp to you. You agree that you shall not hold Sheeva responsible for not responding to any requests, inquiries, messages, information, etc. (“Requests”) sought by you, or not providing a response to your satisfaction, or not processing your Requests, in cases where Sheeva does not receive your Requests in its systems, or your Requests are not in the format as required by Sheeva, or your Requests do not fall under the Services being offered by Sheeva at the time, or Sheeva does not receive such Requests for technical reasons or otherwise, or for any reason whatsoever. Sheeva will have no liability in case of any fraud or impersonation incidents through WhatsApp. Further, if Sheeva permits any Service in the nature of a transaction, you agree that such a Service shall be subject to statutory and regulatory limits. If Sheeva permits any Service in the nature of a transaction, you agree that such a Service shall be subject to any limits that may be imposed by Sheeva, from time to time, at its sole discretion.
E.2.v You hereby authorize Sheeva to initiate and process payments to participating merchants and third-party service providers on your behalf for transactions requested through WhatsApp and the Platform. This includes authorizing Sheeva or its designated payment processor(s) to debit your linked payment method or account in connection with such transactions. You understand and agree that all payment instructions provided via WhatsApp and the Platform shall be deemed to have been given by you personally and shall be binding upon you once confirmed via the Platform. You are responsible for ensuring the accuracy of transaction details and for Services that require a balance for future charges, you shall keep your account sufficiently funded. Sheeva does not assume any liability for any failed or delayed transactions or any fees, fines, or penalty charges that may be imposed by a third party as a result of your insufficiently funded account, payment processor failures, or technical errors beyond its control.
E.3 Risks and Limitations of Liability. You understand that using WhatsApp carries risks. Sheeva shall not be responsible or liable to you for the consequences arising out of or in connection with using the Services through WhatsApp. Sheeva shall also not be held responsible or liable for any claims or damages you suffer arising from or related to the following risks:
- 3rd party interception of your messages and information exchanged on WhatsApp or 3rd party manipulation of your messages and information;
- identity theft;
- data privacy violations;
- malware, viruses, etc.;
- disablement or distortion of computer or system operations;
- any loss or compromise of your WhatsApp QR code or SIM Card;
- internet fraud, hacking, phishing and other actions which could affect any instruction(s) given to Sheeva for availing the Services;
- system maintenance by Sheeva or the makers of WhatsApp; or
- outdated information obtained from WhatsApp or other third parties.
E.4 User Obligations.
E.4.i You are responsible for providing Sheeva with updated and accurate information and maintaining the security and safeguarding of your account on WhatsApp.
E.4.ii You are responsible for registering your mobile number and Devices with Sheeva and WhatsApp.
E.4.iii You shall ensure an appropriate network connection and the receipt of messages by you shall be subject to the network connection.
E.5. Opt-Out and Deactivation
You may discontinue use of the Services through WhatsApp at any time by:
- Sending the word “STOP” on WhatsApp to Sheeva’s channel, or
- Ceasing to interact with the Platform through WhatsApp.
After opting out, you may continue to access the Services directly through the Platform.
E.6 Definitions
- "Device" means a computer, laptop, mobile phone, tablet or any other similar device that enables you to access WhatsApp and use the Services through WhatsApp.
- "National Payments Corporation of India ("NPCI") is an authorized payment system operator by Reserve Bank of India ("RBI"). NPCI owns and operates the UPI (defined hereafter) payment system.
- "Unified Payments Interface" ("UPI") is a payment platform built by NPCI that allows instant online payments between the bank accounts of any two parties.
- "Virtual Payment Address" ("VPA") is a is a unique identifier that helps UPI to track a person’s account. VPA can be used to make and request payments through a UPI-enabled app.
- "WhatsApp" is the application provided by WhatsApp LLC, 1601 Willow Road, Menlo Park, California 94025.

Sheeva.AI (“Sheeva,” “we,” “our,” or “us”) respects your privacy. This Privacy Policy describes how we collect, use, and share personal information in connection with our services, including through our software applications, Sheeva’s WhatsApp channel, and connected vehicle technologies that enable subscribers to complete transactions for services such as, but not limited to, fuel purchases, parking, making reservations, car washes, drive-thru and curb-side delivery purchases, and toll payments (“Services”). Please read this policy carefully to understand our policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, do not create an account or use this app.
CONSENT TO PROCESSING
By accessing or using our Services, you expressly consent to the collection, use, storage, processing, and disclosure of your personal data as described in this Privacy Policy.
You further consent to our use of your personal data for purposes such as transaction processing, service improvement, customer support, regulatory compliance, and communication of relevant promotions and updates.
If you do not agree with this Privacy Policy or do not wish to provide your consent, please do not use our Services. You may withdraw your consent at any time by contacting us at privacy@sheeva.ai. However, please note that withdrawal of consent may result in limited or no access to our Services.
This policy applies to users throughout India. This policy does not apply to information that you provide or is collected by any third party, including other apps, websites, or content that may link to or be accessible from or through this app, unless that information is provided to us. These other third parties may have their own privacy policies, which we encourage you to read before providing information on or through them.
INFORMATION WE COLLECT AND HOW WE COLLECT IT
We collect personal information from multiple sources to enable and enhance our Services, including enabling in-vehicle payments and location-based service delivery. The types of personal information we collect and how we collect it include the following:
- Information You Give Us. When you create an account, initiate a transaction, contact support, otherwise interact with us, we collect your name, postal address, email address, phone number, card information, vehicle information, username, password, demographic information (such as your gender and occupation) as well as other information you directly give us through Sheeva’s software applications or indirectly through Sheeva’s WhatsApp channel.
- Information We Get From Others. We may get information about you from other sources, including the following:
- From Your Connected Vehicle and a Vehicle Manufacturer. We may receive information from your connected vehicle through built-in telematics systems, vehicle original equipment manufacturer (OEM) integrations, or connected vehicle APIs to facilitate service transitions. This information may include data related to vehicle identification, status, location, usage, fuel level or battery charge state, and telemetry.
- From Merchants and Payment Processors. When you transact through our platform for Services (e.g., pay for gas, charge your car, buy a carwash, pay tolls, or parking), we receive transaction data, payment confirmations, and related information (e.g., billing details and fraud prevention signals) from merchants and payment processors.
This includes integration with Indian payment systems such as UPI, net banking, or credit and debit card networks. By using our Services, you explicitly consent to the sharing of relevant transaction information with authorized Indian merchants, acquiring banks, payment processors, and other service providers as necessary to complete your transaction and comply with applicable financial and regulatory requirements. - From WhatsApp. If you contact us through our WhatsApp channel, we will receive personal information about you (including, but not limited to your phone location data) from authorized third parties such as WhatsApp and Meta with whom you have consented to share your data. By using our Services, you consent to our collection, use, and storage of such data for as long as it is needed for us to provide the Services.
- From Other Third Parties. We may receive personal information about you from authorized third parties such as integration partners or affiliates with whom you have consented to share data, and by using our Services, you consent to our collection, use, and storage of such data for as long as it is needed for us to provide the Services.
We may add any of the foregoing information to the information you have given us.
- Information Collected through the Services. We may receive mobile device identifiers, operating system, software application version, software application usage data, system diagnostics, browser type, precise geolocation data, transaction data, payment confirmations, and related information when you access our Services or you use mobile and computer applications where you choose to install our products or access our products through a browser. You will be prompted by standard requests to allow us access to this information when you access or use our Services. In order to provide the Services as well as live tracking and trip logging services, we have to access information about your (and possibly your vehicle’s) location. Sheeva’s WhatsApp channel, Sheeva’s software applications, or connected vehicles may automatically send geolocation information to our servers via a secure channel (e.g. via SSL) to be analyzed and securely stored. The geolocation information may be used to provide our Services to you such as assisting in a fuel pump activation and fuel transactions, paying for toll transactions, etc. Our servers and databases processing your information may be hosted by a secure cloud provider, such as Amazon Web Services, to provide additional security of users’ data using industry standards.
We may combine data from multiple sources to deliver, maintain, and improve our Services.
HOW WE PERSONAL INFORMATION
We use your personal information as follows:
- to provide and deliver products, facilitate and complete transactions with 3rd party vendors (e.g., fueling, tolling, car washes, etc.), and service customer requests;
- to respond to comments and questions and provide customer service;
- to send information including confirmations, invoices, technical notices, updates, security alerts, and support and administrative messages;
- to protect, investigate, and deter against fraudulent, unauthorized, or illegal activity;
- to communicate about promotions, upcoming events, and other news about products and services offered by us and our selected partners;
- to link or combine user information with other personal information;
- to comply with applicable legal obligations; and
- your personal information is used in an aggregated anonymized form to produce data and statistical products that we may share with our affiliates, business partners, and users. Some of these analytical data and statistical products may be made public by the means of online or print publication. Some of these analytical data and statistical products may be used to advance our intellectual property, including patents, trademarks, copyrights, and trade secrets.
Some automated decision-making may occur, including fraud detection, transaction authorization, or eligibility determinations. These automated processes are necessary to efficiently provide and secure our services.
DATA SHARING AND DISCLOSURE
We may share your information in the following contexts:
- Your Consent. We may share personal information with your consent. For example, you may let us share personal information with others, such as the vehicle manufacturers, fuel companies, banks, payment processors and gateways, toll companies, and other application developers to enable integrations and improve functionality for their own marketing and business uses. Those uses will be subject to their privacy policies.
- Facilitate Transactions. We may share your personal information with merchants, service providers, and financial institutions to fulfill transactions initiated through Sheeva’s WhatsApp channel, the software applications or your connected vehicle, and with payment processors to facilitate secure payments and fraud prevention, and compliance with financial regulations.
You consent to our sharing of your transaction details with entities such as banks, UPI-based platforms, and government-mandated systems as required to lawfully process payments and support your real-time transaction verification in accordance with Indian law.
- Business Successors. We may share personal information when we do a business deal, or negotiate a business deal, involving the sale or transfer of all or a part of our business or assets. These deals can include any merger, financing, acquisition, or bankruptcy transaction or proceeding.
- Legal or Regulatory Authorities. We may share your personal information for legal, protection, and safety purposes. This includes sharing information in order to comply with certain laws or to respond to lawful requests and legal processes.
- Protection of Rights. We may share information to protect the rights and property of Sheeva, our agents, customers, and others. This includes enforcing our agreements, policies, and terms of use.
- Emergencies. We may share information in an emergency. This includes protecting the safety of our employees and agents, customers, or any person.
- Third-Party Support. We may share information with those who need it to work for us. This includes technology vendors, systems integrators, and other contractors who provide IT support, analytics, hosting, and other business services.

We do not sell your personal information to any third party for monetary compensation. However, some disclosures may be considered a “sale” or “sharing” under certain privacy laws. RETENTION OF PERSONAL INFORMATION
We retain personal information—including data received from third parties—for as long as reasonably necessary to:
- Deliver and maintain the Services;
- Support operational needs (e.g., transaction records, account history);
- Meet legal, tax, and contractual obligations; and
- Prevent fraud or resolve disputes.
You may request to delete your account data including any personal information from our systems by contacting us at privacy@sheeva.ai. Given how our backup systems work, your data may remain in our backups for some time after we delete it from our servers. We will continue to protect any retained personal information in accordance with this Policy.

You may have the following rights under the Digital Personal Data Protection Act, 2023 (DPDP Act):

The Grievance Officer is responsible for addressing your queries, complaints, and ensuring compliance with applicable data protection laws in India, including the DPDP Act, 2023. DATA SECURITY
We implement reasonable technical and organizational safeguards to protect personal information from accidental loss and from unauthorized access, use, alteration, and disclosure. All information you provide to us is stored on our secure servers behind firewalls. Any payment transactions will be encrypted.
The safety and security of your information also depends on you. Where we have given you (or where you have chosen) a password for access to certain parts of our Services or our software applications, you are responsible for keeping this password confidential. Despite our efforts, no system is 100% secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted through our Services or our software applications. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures included through the Services or our software application.
CHILDREN'S PRIVACY
The software applications, Sheeva’s WhatsApp channel, and Services are not intended for children under 18 years of age. We do not knowingly collect personal information from anyone under the age of 18. If you are under 18, do not use or provide any information through Sheeva’s WhatsApp channel, the software applications, or create an account. If we learn we have collected or received personal information from a child under 18 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under 18, please contact us at privacy@sheeva.ai.
CROSS-BORDER DATA TRANSFERS
We are part of a global group with an international presence. Your information may be processed either locally in India, or in any other country where our or our affiliates entities’ approved service providers operate, worldwide, as permitted under applicable laws of India, provided that all payments related data will be stored in India in accordance with applicable laws of India. Through this Privacy Policy, we hereby seek your consent to transfer your information (including sensitive personal information) to our and our affiliated entities’ approved service providers under contracts for the purposes defined under this Privacy Policy or as may be communicated to you from time to time. Should your information (including sensitive personal information) move outside India, we will ensure to comply with the provisions of applicable laws of India and also ensure that our and our affiliated entities’ service providers comply with the same level of data protection laws as are applicable in India.

GOVERNING LAW AND JURISDICTION
